III. ASUNTOS DEBATIDOS Y ACUERDOS ADOPTADOS VÁLIDAMENTE

Constituido el Consejo de Gobierno, se entra en el tratamiento de los asuntos del orden del
día.
1. Lectura y aprobación, si procede, del acta de la sesión del Consejo de
Gobierno de 24 de enero de 2019.
Se acuerda, por asentimiento, aprobar el acta de la sesión del Consejo de Gobierno de

2. Informe del Rector.
I.- Querría informar al Consejo de los siguientes asuntos ocurridos desde la última sesión
ordinaria, celebrada el 24 de enero de 2019:

He representado a la Universidad la entrega del Premio Nacional de Sociología y Ciencia
Política, presidida por el Rey; en el acto de Rehabilitación de Académicos de la Real
Academia de Ciencias, con la Vicepresidenta del Gobierno; en la entrega de Becas
Iberdrola, presidida por la Reina; en la VI Jornada Gregorio Peces-Barba, con Miquel
Roca, Ángel Gabilondo, Soledad Gallego Díaz, Óscar Alzaga Villamil y Pere Navarro i
Morera; en la entrega de Premios Nacionales de Investigación; en la presentación de
BioMad, junto con el Presidente de la Comunidad de Madrid; en la ceremonia de apertura
de Harvard WorldMUN, bajo la presidencia del Rey; en el debate “Europa: la Democracia
y sus desafíos”, organizado por la Fundación Diálogo y la Oficina del Parlamento
Europeo en España; Presentación del libro "Sociedad Digital y Derecho", del profesor
Tomás de la Quadra-Salcedo y José Luis Piñar, junto con la Ministra de Economía y

Asimismo, he recibido como Rector de la UC3M el Máster de Oro del Real Fórum de
Alta Dirección.
En el ámbito académico, he participado en la Asamblea General de la Alianza 4
Universidades; en el Patronato del Centro Universitario de la Guardia Civil; en la Junta
General y el Consejo de Administración de OCU; en el seminario de Rectores de UNICA,
dirigiendo la sesión “Transnational Campuses: towards a European University”; en la
mesa redonda de Liderazgo y en la conferencia anual de la EUA, “Driving innovation in
Europe´s Universities, celebradas en la Universidad de la Sorbona; y en la segunda
reunión oficial de la red Young Universities for the Future of Europe. También asistí a la
concentración y a la lectura del Manifiesto con ocasión del Día Internacional de la Mujer,
convocados por CCOO y UGT.
Quiero destacar las siguientes reuniones. En primer lugar, con la Ministra de
Educación y Formación Profesional junto con los Rectores UAH, UAM y UCM para
tratar de la formación de profesorado. Y en segundo lugar, con el Ministro de Ciencia,
Innovación y Universidades, junto con los Rectores UAM, UB, UCM, UC3M, UGR,
UPF, USAL para presentarle nuestras candidaturas a la convocatoria de Redes Europeas
de la Comisión Europea.
También he mantenido encuentros con la Presidenta de IBM, junto con los Rectores
UCM, UAM y UAH; con el Ministro de Asuntos Exteriores con ocasión de su
participación en un acto estudiantil en la Universidad; con la candidata del Partido
Popular a la Presidencia de la Comunidad de Madrid, Isabel Díaz Ayuso, que también
nos visitó para un acto organizado por una asociación de estudiantes; con el Coordinador
General de Alcaldía del Ayuntamiento de Madrid, Luis Cueto, en una visita a nuestro
campus Madrid-Puerta de Toledo.
He firmado en nombre de la Universidad, entre otros acuerdos, los Convenios
Plurianuales con la Comunidad de Madrid; y un protocolo entre universidades rusas y
españolas para la creación de una alianza llamada AURE.

He presidido el acto del Día de la Universidad, en el que investimos doctores Honoris
Causa a los profesores Bjarne Stroustrup y Margaret Levi; la entrega de Ayudas del
Consejo Social, junto con el Presidente del Consejo Social y en el marco de la
Inauguración de la Semana de la Solidaridad; el encuentro con los Mentores Alumni de
la Universidad; la Carrera Intercampus; la Asamblea General de YERUN celebrada en la
Universidad de Amberes; la reunión con el Círculo de Amigos de la Universidad.
Asimismo, la Universidad celebró un acto en homenaje a la Constitución Española y
en recuerdo del Profesor Gregorio Peces-Barba, que consistió en un coloquio con Felipe
González y Miquel Roca moderado por el profesor Miguel Satrústegui.
II.- También quiero informar a este Consejo de algunos hechos y datos relevantes de
nuestra Universidad:
La UC3M acoge dos nuevas empresas del programa de incubación de ESA BIC,
un proyecto de apoyo a startups regionales del sector aeroespacial gestionado por
la Agencia Espacial Europea (ESA) y la Comunidad de Madrid, y que tiene uno
de sus nodos regionales en el Parque Científico de la UC3M. La UC3M está dando
apoyo a un total de nueve startups del programa de incubación ESA BIC de la
Comunidad de Madrid.
El Departamento de Economía de la Empresa de la UC3M aparece en la 4ª
posición (1ª institución pública) entre las mejores Escuelas de Negocios de
España según el Eduniversal Business Schools ranking.

La UC3M aparece entre las mejores del mundo en 11 campos académicos, según
el QS World University Rankings by Subject 2019. La Universidad ocupa lugares
destacados en 11 de los 31 campos académicos en los que ha sido evaluada en el
QS World University Rankings by Subject 2019. En esta edición, aparece entre
las 50 mejores universidades del mundo en Economía y en el “top 100” en
Derecho y en Finanzas y Contabilidad. En Estadística e Investigación Operativa
se sitúa entre las 150 instituciones mejor valoradas. La UC3M aparece en el “top
200” mundial en otras materias, como Ciencias Empresariales, Ingeniería
Eléctrica y Electrónica o Informática y Sistemas de Información. La Universidad

también aparece entre los 300 mejores centros de educación superior en Ingeniería
Aeronáutica, Industrial y Mecánica, Matemáticas y Sociología. Además, aparece
por primera vez en este ranking en Física y Astronomía.
Cifras de la International School
La Carlos III International School ha mejorado un año más sus resultados globales en
número de estudiantes, en créditos matriculados y en fondos generados.

Internacionalización UC3M (curso 18/19)
El porcentaje de estudiantes internacionales que cursan sus estudios en la Universidad
representa alrededor de un 20% del alumnado de grado, un 35% en el caso de los másteres
y por encima del 40% en el caso de los estudiantes de doctorado.
Erasmus+
915 estudiantes internacionales de grado
De 27 países, como Italia (177), Francia (176), Alemania (119), Reino Unido (102) o
Países Bajos (89).
Otros 44 estudiantes cursan un semestre de posgrado a través del programa Erasmus+
Máster.
Movilidad No Europea
910 estudiantes internacionales de grado de otras partes del mundo a través del programa
de Movilidad no Europea.
Proceden de 24 países, fundamentalmente de EEUU (479), Canadá (86), Brasil (61),
Australia (60), Argentina (37), Méjico (28), Corea del Sur (26) o China (22), entre otros.
1.259 estudiantes extranjeros participan este año (un 15% más que el año pasado) en los
“Cursos de Estudios Hispánicos”, el programa “Free Movers” y el “Study Abroad
Program”.
Además, la tercera edición del “International Foundation Program” (un curso de
preparación de un año de duración para estudiantes que han finalizado estudios de
secundaria y quieren prepararse para cursar un grado) cuenta con la participación de 111
estudiantes (un centenar más que en su primera edición de 2016).

Principales conclusiones:
- El 92,2% de los titulados de la UC3M accedió al mercado laboral en el primer
año posterior a su graduación.
- Satisfacción general de los egresados: el 97,5% recomendaría estudiar en esta
universidad.
- El 84% de los titulados adquiere experiencia profesional antes de finalizar los
estudios, (realización de prácticas en alguna de las más de 6.000 empresas con las
que tenemos convenios de colaboración).
- Los sectores con mayor porcentaje de incorporación de titulados son: asesoría,
consultoría y despachos; industria, fabricación y logística; y banca, finanzas y
seguros.
- El 82% de los graduados afirman ocupar puestos relacionados con sus estudios,
mientras que el 88% de ellos se han incorporado a empresas privadas,
especialmente multinacionales.
Conclusiones principales de los últimos análisis IUNE
- La A4U supone el 17,61% de la producción del SUE, con el 7,28% de PDI
permanente del SUE. La productividad de la A4U fue superior a la del SUE.
- Impacto absoluto: La A4U aporta un 21,62% de citas al SUE.
- Impacto relativo: El número de citas/documento de la A4U es superior al del
SUE.
- Un 60,55% de la producción de la Alianza A4U se publicó en el Q1, un 7% más
que SUE.
- En cuanto a la comparación de la Alianza A4U con otras universidades:
o YERUN La Alianza A4U aporta un 20% a la producción total de la Red
YERUN en el periodo 2008-2017 en la base de datos WoS.
o UNIVERSIDADES BRITÁNICAS (Oxford, University College London,
Cambridge, Manchester e Imperial College London): la A4U, está en 4ª
posición por tamaño global (PDI) y la 5ª por producción total; sin
embargo, por productividad anual queda en tercera posición.
La UC3M ha sido designada “hub” de Naciones Unidas para la consecución de
ciudades sostenibles (Objetivo de Desarrollo Sostenible 11 de la ONU)
La NASA premia un equipo español con participación de la UC3M en el Space
Apps Challenge
Un equipo español en el que participa un investigador de la Universidad Carlos III de
Madrid (UC3M) ha ganado el Space Apps Challenge, un hackathon internacional de 48
horas organizado por la NASA.
El Space Apps Challenge es un proyecto de resolución de problemas que trata de impulsar
el desarrollo de aplicaciones utilizando datos en abierto de la NASA en torno a 20 grandes
retos. La última edición de este concurso se celebró el pasado mes de octubre, con la
participación de más de 18.000 personas en 200 eventos repartidos por todo el mundo. El

premio consiste en una invitación a las instalaciones del Kennedy Space Center en Florida
(EEUU).
La UC3M participa en la organización del Harvard World Model United Nations
2019, que se celebra del 17 al 22 de marzo en Madrid
Ahorro en consumo eléctrico en la UC3M
La Universidad ha conseguido disminuir su consumo eléctrico de manera sensible en los
últimos 6 años. Comparando el año 2012 y el año 2018 vemos que:
- en 2012 consumimos 17.120.317 KWh.
- en 2018 consumimos 13.680.812 KWh.
A pesar de que:
- en 2.012 ocupábamos 241.622 metros cuadrados.
- en 2.018 ocupábamos 268.549 metros cuadrados.
Como resultado:
- en 2.012 pagamos 2.727.606 € por consumo de energía.
- en 2.018 pagamos 2.133.124 € por consumo de energía.
En conclusión, la UC3M ha conseguido consumir menos energía y, por lo tanto, pagar
menos por dicho consumo, a pesar de que ocupamos más metros cuadrados.
La UC3M forma parte de una nueva alianza universitaria hispano-rusa
La UC3M es una de las ocho universidades públicas de España y Rusia que integrarán la
alianza AURE, cuyo objetivo es promover la cooperación académica y estrechar lazos
culturales entre ambos países.
El acto de presentación de esta nueva alianza hispano-rusa, que tuvo lugar ayer en la
Embajada de España en Moscú, contó con la presencia de. A la ceremonia de firma del
memorándum, celebrada en la Embajada Española en Moscú, asistieron los rectores de
las universidades españolas firmantes: Carlos III de Madrid, Oviedo, Rovira i Virgili y
Valencia. Por la parte rusa, acudieron los rectores de RANEPA (Academia Rusa de
Economía Nacional y Administración Pública adjunta al Presidente), la Universidad
Nacional de Investigación de Tomsk, MISIS (Universidad Nacional de Ciencia y
Tecnología) y la Academia Rusa de Comercio Exterior del Ministerio de Desarrollo
Económico de la Federación de Rusia. Estuvieron acompañados de la secretaria de Estado
de Universidades, Investigación, Desarrollo e Innovación, Ángeles Heras; y del secretario
general de Universidades, José Manuel Pingarrón.
La UC3M se une a la red BioMad de I+D+i sanitaria de la Comunidad de Madrid
La UC3M incrementa sus noticias y vídeos institucionales sobre I+D+i
El número de noticias de divulgación de la investigación e innovación de la Universidad
Carlos III de Madrid (UC3M) ha aumentado un 6 por ciento en 2018 respecto al año

anterior, consiguiendo a su vez más de 2.500 apariciones en prensa, webs y medios
institucionales. Por su parte, la producción de vídeos de contenido institucional y
divulgativo ha aumentado un 17 por ciento respecto al 2017.
Reunión del Círculo de Amigos 2019
El 2 de abril celebramos un nuevo almuerzo de trabajo con el Círculo de Amigos de la
Universidad, compuesto por los invitados e invitadas de honor de las ceremonias de
graduación de la universidad. Son personas con una posición relevante en diferentes
ámbitos de nuestra sociedad y que colaboran con la Universidad en diferentes proyectos,
como las Becas Alumni, encuentros con la Comunidad Universitaria y aportándonos sus
ideas y experiencia.

La Comunidad de Madrid nos informó por carta a primeros de marzo de un recorte
de 1,4 millones de euros sobre la cantidad presupuestada para el año 2019. Este
recorte se ha realizado a las seis universidades públicas de Madrid. El Presidente
de la CRUMA pidió hace varias semanas una reunión con el Consejero para tratar
este tema, pero aún no hemos tenido respuesta.
La Comunidad de Madrid no ha aprobado todavía la Oferta Pública de Empleo
para este año. Si se retrasa, convocaremos las plazas de que dispone la
Universidad para que los concursos tengan lugar durante este año.
3. Propuesta de modificación de Dobles Grados.
Se acuerda, por asentimiento, aprobar la modificación de los siguientes Dobles
Grados, en los términos del Anexo 1 a esta acta.

Doble Grado en Estudios Internacionales y Administración y Dirección de
Empresas.
Doble Grado en Estudios Internacionales y Ciencias Políticas.
Doble Grado en Estudios Internacionales y Derecho.

4. Aprobación de Títulos Propios.
Se acuerda, por asentimiento, aprobar el Título de Especialista en Derecho del
Mercado del Arte.
5. Propuesta de incentivos por actividades de gestión.
Se acuerda, por asentimiento, aprobar la propuesta de incentivos por actividades de
gestión, en los términos del Anexo 2 a esta acta.
6. Doble Titulación de Máster con la Universidad de Bremen.
Se acuerda, por asentimiento, aprobar la Doble Titulación de Máster en “Romanistik
International” y "Contemporary Spanish Language and Literature" con la Universidad
de Bremen, en los términos del Anexo 3 a esta acta.
7. Constitución de YERUN como INPA/AISBL.
Se acuerda, por asentimiento, aprobar la constitución de la Young European Research
Universities Network (YERUN) como INPA/AISBL (Asociación Internacional sin
ánimo de lucro) y la participación de la Universidad Carlos III en la misma, así como
su Reglamento de Organización y Funcionamiento, en los términos del Anexo 4 a esta
acta.
8. Aprobación del acta de acuerdos de la sesión.
Se acuerda, aprobar el acta de acuerdos de la sesión.
9. Ruegos y preguntas.
En primer lugar, toma la palabra el Profesor José Luis Ferreira para solicitar
información sobre las consecuencias de la participación de Cristina Narbona como
miembro de un tribunal de evaluación de una tesis doctoral en el pasado en nuestra
Universidad.
El Rector informa que se han completado las actuaciones reservadas que se habían
iniciado, pudiendo concluirse que Cristina Narbona informó a la Universidad que no
tenía convalidado en España su título de Doctora. Por otra parte, la misma participó
en una publicación conjunta con el estudiante que defendía la tesis, circunstancia esta
que prohíbe nuestra normativa interna. Por todo ello, se ordenó la incoación de
actuaciones disciplinarias contra los posibles responsables, siendo así que dadas las

fechas en que los hechos se realizaron, las posibles faltas en que podían haber incurrido
se encontrarían ya prescritas.
Interviene el Profesor Moreno para poner de manifiesto que no entiende el carácter
reservado de la información, sugiriendo a la Universidad que esa situación no debe
dejarse pasar. Entiende que se debería hacer un comunicado informando del error
cometido para que la prensa no acuse a la Universidad de querer ocultar información.
Considera que es un error serio y se pregunta si debería pedirse responsabilidad al
doctorando y si debería repetir su exposición. Concluye señalando que, si no se pueden
tomar acciones por haber prescrito, se debería hacer alguna instrucción para que esta
situación no vuelva a repetirse.
El Rector indica que Cristina Narbona informó antes de que se constituyera el tribunal
de que su título de Doctora no estaba convalidado en España. Ya se publicó una nota
de prensa y coincide en que esto no debe volver a pasar. La información es reservada
porque es la herramienta de que se dispone para actuar en estas situaciones. La persona
que cometió el error ya no es directora de ese Programa de Doctorado.
A continuación interviene Valeria Nicole Arias, representante de los estudiantes, para
preguntar qué partidas presupuestarias se van a recortar ante la disminución del
presupuesto de la Comunidad de Madrid para las Universidades.
El Rector responde que no se van a hacer recortes.
La representante de los estudiantes Luiza Velizarov toma la palabra para poner de
manifiesto las quejas que existen respecto a la Oficina Internacional por las estancias
internacionales y de Erasmus, resumiéndolas en las siguientes: la no adaptación de las
fechas de matrículas con las fechas del ministerio, la solicitud de más convenios, la
convocatoria tardía en el caso de Erasmus, la falta de información por email de la
segunda convocatoria y que los Tutores Académicos Internacionales que gestionan
Periodismo se han reunido muy tarde.
La Vicerrectora de Estudiantes responde con las siguientes aclaraciones:
a) No ha llegado ninguna queja específica por lo que respecta a las fechas y sería
bueno que se las hubieran hecho llegar para solucionarlo en el momento. En cualquier
caso, se intentará adaptarlo lo mejor posible.
b) La convocatoria se ha realizado como en otros años y desconoce los problemas
que hayan podido surgir.
c) Respecto de los TAI, se indica que se está reorganizando el sistema, porque en
este último año ha aumentado el número de estudiantes que se han ido y se ha
incrementado la carga de trabajo de los tutores académicos.
d) En relación con los convenios, en los últimos cuatro años se están haciendo
consultas para buscar titulaciones similares, pero es complicado. No hay suficientes
números de plazas y se han abierto otras titulaciones, por lo que las plazas son
adjudicadas a los estudiantes con mejores notas, ya que es un proceso competitivo.

La representante de los estudiantes añade que los estudiantes no saben dónde presentar
sus quejas y que no hay concreción entre la Oficina Internacional y las otras oficinas de
la Universidad, pidiendo una mayor comunicación entre ellas.
El Rector aclara que existe el Canal Opina para pedir información y que, en todo caso, se
evaluarán las soluciones posibles.
Toma la palabra la Decana de la Facultad de Ciencias Sociales y Jurídicas, Rosa
Rodríguez, para señalar que los estudiantes de Estudios Internacionales tienen un 80% de
movilidad, mayor que el porcentaje del resto de estudiantes de otras titulaciones. No sabe
a qué se refiere con la descoordinación que dice, pero sí existen canales para solucionar
las quejas que puedan tener los alumnos y así han sido informados. En cualquier caso,
pueden pasar por el Decanato para cualquier problema que tengan.
A continuación, interviene la Profesora María Carmen Ciller, por alusiones, para indicar
que, históricamente, los estudiantes de Periodismo son los que más movilidad tienen y
que las personas que dirigen las movilidades no dependen de ella. Además, no les ha
llegado ninguna queja.
La estudiante Valeria Nicole Arias puntualiza que, aunque se han ampliado plazas, no es
suficiente y solicita más oferta en la propia titulación de internacional.
El Rector señala que se está trabajando en ello y que es uno de los objetivos de la Red de
Universidades YERUN, pero se necesita tiempo para su desarrollo.
Seguidamente, interviene el representante de los estudiantes de postgrado, Sebastián
Ibarra, para indicar que se han recibido quejas del funcionamiento de Aula Global.
Muchos estudiantes no proceden del Grado en la Universidad, por lo que desconocen el
funcionamiento de esta plataforma. No se puede a acceder a la información hasta que
finaliza el programa. También solicita información sobre el compromiso que se adquirió
en relación con la instalación de tomas de corriente eléctricas en el edificio 18.
Respecto del funcionamiento de Aula Global, el Rector señala que la Biblioteca imparte
cursos para ello, aunque se admiten propuestas nuevas.
Y por lo que se refiere a las tomas de corriente eléctricas, el Gerente señala que se van a
electrificar las mesas comunes. Como no se pueden electrificar las mesas de las aulas, se
estudiará otra solución que no implique riesgos.
El Gerente informa también que se está ampliando la red de suministro de energía
eléctrica que existe actualmente. Hay un plan de electrificación de puestos de trabajo en
puestos comunes con electrificación perimetral y con un estudio para detectar dónde es
realmente necesario y eficaz. Hay un presupuesto específico para ello.
Interviene el Defensor Universitario para indicar que se atienden las quejas de los
estudiantes de Relaciones Internacionales, pero señala que existe un defecto en las quejas
que realizan y es que van dirigidas al Vicerrector o a sus servicios. Hay que entender que
los convenios se realizan con otras Universidades que tienen otra legislación diferente.

Sugiere que los estudiantes estén atentos a todas las comunicaciones que se realicen para
evitar problemas.
Toma de nuevo la palabra Valeria Nicole Arias para hacer un ruego respecto a la oferta
de prácticas en Estudios Internacionales, ya que considera que son insuficientes.
La Decana de la Facultad de Ciencias Sociales y Jurídicas indica que, si bien este tema
se puede tratar en el Decanato, los estudiantes de los dobles grados tienen dos asignaturas
de prácticas, por lo que lo tienen más fácil, sin perjuicio de que se sigue avanzando en
este asunto.
Finalmente, interviene María Eugenia Rabanal como representante de los Institutos para
poner de manifiesto que, desde el Instituto de Estudios de Género, le han transmitido su
malestar por la financiación del Congreso sobre gestación subrogada que se está
celebrando en la Universidad.
El Rector señala que es posible la celebración de congresos sobre cualquier cuestión
académica, siendo este asunto un tema legítimo de debate. Opinión ésta compartida por
la profesora Esperanza Castellanos.

1. JUSTIFICACIÓN DE LOS CAMBIOS:
El pasado día 14 de junio de 2017 se aprobó la modificación del Doble Grado en Estudios
Internacionales y Administración y Dirección de Empresas.
Una vez aprobado se ha advertido una errata en el número de créditos correspondiente a los
ECTS de las Prácticas Externas correspondientes al Grado simple en Administración y
Dirección de Empresas. En lugar de 6 ECTS debería decir 18 ECTS.
En el Anexo I se incluye el plan definitivo con la errata corregida.

DOBLE GRADO ESTUDIOS INTERNACIONALES – ECONOMÍA
1. JUSTIFICACIÓN DE LOS CAMBIOS:
El pasado día 12 de abril de 2018 se aprobó la modificación del Doble Grado en Estudios
Internacionales y Economía
Una vez aprobado se ha advertido una errata en las Prácticas Externas (PE) de Economía
que figuraban con 6 ECTS. Sin embargo, en el plan simple (tanto en el antiguo como en el
nuevo) las PE tienen 18 ECTS. Por lo tanto, se procede a corregir dicho error de manera que
las PE del Doble Grado (por la parte de Economía) sean de 18 ECTS tanto en el plan nuevo
como en el antiguo.
Por otro lado, se incluyen las PE de 12 ECTS que existían en el plan antiguo de Estudios
Internacionales en el plan antiguo del doble.
En el Anexo I se incluye el plan definitivo con la errata corregida.

COOPERATION AGREEMENT
between
Universidad Carlos III de Madrid
and
University of Bremen
Concerning a Double Degree Programme between
the Master Programme “Romanistik International”
and
the Master Programme "Contemporary Spanish Language and Literature"
On the basis of an already existing relationship and given the regulations in force in both countries,
For the German side:
- The Higher Education Act of the federal State of Bremen (Bremisches Hochschulgesetz –
BremHG).

- The applicable admission and examination regulations of the Master Programme
“Romanistik International”, including the “General part of the examination regulations for
Master degrees of the University of Bremen“ in its current version and other regulations
applicable for the studies at the University of Bremen.
For the Spanish side:
- The Organic Law 6/2001, of December 21st, of Universities.
- Royal Decree 1393/2007, of October 29th, which establishes the organization of Official
University Education.
the Universidad Carlos III de Madrid (hereinafter UC3M) , Centro de Postgrado, Escuela de
Postgrado de Humanidades y Comunicación (C/ Madrid 126, 28903 Getafe, Madrid, Spain),
represented by its Rector Juan Romo Urroz,
and the University of Bremen (hereinafter UB), Faculty of Language and Literature (FB 10),
Bibliothekstr. 1, 28359 Bremen, represented by its Rector Prof. Dr.-Ing. Scholz-Reiter
agree to start a double degree programme. For the implementation of the double degree programme
they agree to the following:
1. Beginning in Winter Semester 2019/2020 the universities plan to start a double degree
programme as a cooperation between the Master Programme “Romanistik International”
of the University of Bremen and the Master Programme “Contemporary Spanish
Language and Literature” of the University Carlos III Madrid.
2. It is designed for a maximum of 8 students per university and per year to be admitted into
the double degree programme starting in Winter Semester 2019/2020 with the first
semester at the UC3M (see also Annex 2: Courses/Modules of the double degree).
3. According to this agreement the students of both Universities spend their first and second
semester of their Master studies at UC3M and their third and fourth semester at UB.
4. Criteria and procedure for admission into the double degree programme are regulated in
the respective regulations of both participating universities. In order to be admitted to the
double degree programme the students must meet the admission requirements of the
respective Master Programmes of both universities according to their respective admission
regulations. The current admission requirements to the master’s programmes are specified
in Annex 1. The parties must notify each other of any planned changes of their respective
admission requirements.
5. Students participating in the double degree programme enrol at both universities. In the
first and second semester students will enrol at UC3M. They may additionally enrol at
UB. Students must enrol at UB for the third and fourth semester.

6. UB will be responsible for admitting students to the Master programme “Romanistik
International”. Students selected by UC3M will have to apply online for the Master
Programme “Romanistik International” at the University of Bremen. They must fulfil all
admission requirements and need a documentary proof of having health insurance
coverage.
7. UC3M will be responsible for admitting students to the Master Contemporary Spanish
Language and Literature. Students selected by UB will complete an application provided
by UC3M. They must fulfill all admission requirements.
8. The universities will waive the tuition fees during the obligatory studies at the host
university. The student’s obligation to pay other public dues or duties while enrolled at
the host university remains unaffected.
While they are matriculated at the UC3M the students will have to pay administrative fees
and the Title Expedition Fee and Certificates Expeditions Fees.
While they are matriculated at UB the students will have to pay the semester contribution
(“Semesterbeitrag”). Information on the contribution amount is provided by UB each
semester.
9. For UC3M Double Degree´s students, UC3M can establish a reduction in the price of the
academic fees corresponding to the course taken at the UB. This reduction will be
reviewed by UC3M every year as a consequence of possible changes in the regulations of
public prices.
10. Each university guarantees that all of the courses required for the double degree
programme will be offered. The course of studies and the courses to be offered for the
double degree programme by the universities are specified in Annex 2. These courses will
be reviewed every year. Any change has to be agreed upon in advance and in writing
between the partner universities.
11. Students must comply with the examination requirements as regulated in the respective
examination regulations of both universities in order to complete the double degree
programme. Each examination will be conducted according to the examination regulations
of the university that offers the respective examination.
12. As the grading schemes of both universities differ, the translation and conversion of the
grading will be conducted as follows:

13. The master thesis scheduled in the fourth semester (see Annex 2) must ordinarily be co-
supervised by one supervisor of each university.
The Master’s Thesis scheduled in the second semester (see Annex 2) must be defended
according to Spanish Regulations.
14. Upon successful completion of the double degree programme the students, who have
successfully taken part in the double degree programme, will be awarded with the “Master
Degree in Contemporary Spanish Language and Literature” by UC3M and “Master of Arts
(M.A.)” by the UB. Each university will calculate the final grade according to their
respective examination regulations. The degree certificate of the UB will mention that the
degree was awarded within a double degree programme of both universities. The degree
certificate of the University of Bremen will be issued in English and German.

15. Quality will be assured through regular exchange of programme coordinators between the
universities. The programme coordinators shall meet at least once per year to discuss the
development of the double degree programme.
Both universities ensure that their part of the double degree programme is consistently
accredited by an accreditation agency registered with ENQA in accordance with the
national quality assessment protocols. The respective accreditation results are presented
during the annual meetings and placed in the context of the overall programme.
Accreditation recommendations concerning the double degree programme are discussed
and implemented where necessary. Both universities will keep each other informed about
the application procedures and the admission requirements in place at the Partner
University.
16. The double degree programme will first be implemented for a trial period of four years of
admission into the Double Degree Programme between the winter semester 2019/2020
and the winter semester 2022/2023. At the beginning of the fourth year of implementation
of the double degree programme both universities shall evaluate whether the double
degree programme shall continue and if, whether there shall be changes to the double
degree programme. Subject to a positive evaluation, the Double Degree Programme will
then continue.
17. Each university will seek to support the students from the partner university during their
stay abroad. However, all travel and accommodation costs as well as any incidentals are
to be financed by the students themselves.
18. The initial term of this Agreement will be four years, from the start of the Double Degree
Programme in the winter semester 2019/2020. Subject to a positive evaluation, the
Agreement may be prolonged by written agreement.
19. However, this Agreement may be terminated by giving 90 days written notice before the
end of the calendar year. Termination shall then become effective to the end of the
respective academic year. However, both universities shall ensure that students already
selected or enrolled in the double degree programme can complete their studies according
to this Agreement.
20. The parties will mutually assist and cooperate to ensure that the activities within the
double degree programme comply with all applicable laws.
21. No amendment to this agreement shall be valid unless the same is made in writing jointly
by the universities and their authorized representatives and specifically state the same to
be an amendment to this agreement.
22. Amendments to the annexes of this agreement may be made in writing jointly by the
universities. The amendments have to specifically state to be an amendment to the annex.
23. Both parties agree that the Intellectual Property Rights (IPR) in all programme materials
created by either of the parties shall remain property of the party responsible for creating

and/or developing the relevant materials, unless otherwise agreed in writing between the
parties.
24. Each institution will comply with the applicable national laws and regulation including
the Data Protection Regulations in relation to all personal data that one institution receives
from the other institution.
25. Both institutions subscribe to a policy of equal opportunities and will not discriminate on
the basis of race, colour, sex, age, national origin or ancestry, marital status, parental
status, sexual orientation, disability or status as veteran.
26. Force Majeure. Neither institution shall be liable for failure to perform its obligations
under this agreement if such failure results from circumstances which could not have been
contemplated and which are beyond the institution’s reasonable control.
27. Disputes. Any differing viewpoints and interpretations of this agreement shall be settled
amicably by mutual consultation. In the event of disputes that cannot be resolved by direct
informal negotiation and consultation, the conflict shall be submitted to the courts as a last
resort after exhausting all the other ways. In that case, the dispute shall be submitted to the
courts of the country of the defendant. The courts of the country of the defending party
are subsequently exclusively competent to deal with any and all (counter) claims related
to that (first) claim.
28. This agreement, the annexes and amendments become effective on the date the last party
signs.
In witness of the terms of the agreement, and intending to be legally bound, signatures of the
following authorized representatives of the parties are affixed.

INTERNATIONAL NON-PROFIT ASSOCIATION
BYLAWS
PREAMBLE
In an international context marked by interdependence and the need to strengthen and develop
cooperation in the area of scientific research, academic education and service to society, the Young
European Research Universities Network (hereafter “YERUN AISBL” or “the Network”) is
founded with the aim of working along these lines and opening new avenues for dialogue and
collaboration.
The members of this university network have the following core values, to which all members
subscribe:
An orientation towards creative, innovative, outstanding scientific research
A responsibility towards a global, fair, solidarity minded, multicultural, and diverse
society
A commitment to internationalisation
A focus on teaching quality, and quality assurance
An emphasis on graduate employability
Based on the Mission Statement and Letter of Intent signed in Brussels on the 9th of January of
2015 (Appendix 2), the members of the Network express their willingness to become an
international network organized around the principle of equality.
SECTION I
NAME, APPLICABLE LAW AND GEOGRAPHICAL SCOPE
ARTICLE 1 .- NAME
The Network governed by these Bylaws is named Young European Research Universities Network
(YERUN AISBL) and operates as an international non-profit association (“AISBL”).
ARTICLE 2 .- APPLICABLE RULES
The Network shall be governed by the letter of intent agreed upon by the founding members
(Appendix 2), these Bylaws and any other rules that may be subsequently approved by the
members.
No member shall have the authority to act as agent or to bind another member in any way. All
these apply without prejudice of the competencies and duties assigned by the Network in Articles
23, 17 and 21 of this Bylaws and that refer respectively to the President and Vice-President of the
Network, the Network General Assembly and the Network Executive Board.
Nothing in these Bylaws shall be deemed to require a member to breach any mandatory statutory
law under which the party is operating.
The Network shall not be entitled to impose any liability on a member in excess of its obligation
to pay an annual membership fee.
ARTICLE 3 .- SEAT AND GEOGRAPHICAL SCOPE
The Network has its registered seat and contact address at Rue du Trône, 62, 6th floor, 1050
Brussels, Belgium.
The Network has an international geographical scope, carrying out its activities mainly in
European countries.
ARTICLE 4 .- DURATION
The Network is constituted for an indefinite period.
SECTION II
GOALS AND ACTIVITIES
ARTICLE 5 .- GOALS
Notwithstanding other goals to be determined in the future, the founding goals of the Network are
to strengthen and develop cooperation in the area of research, academic education and service to
society among a cluster of highly-ranked, young universities in Europe on an equal basis and for
their common benefit.
ARTICLE 6 .- ACTIVITIES
In order to facilitate the achievement of the Network goals, and to the extent that the circumstances
and resources allow, the Network will conduct the following activities:
(a) To advise on research policies in Europe and, in particular, under the EU funding
programmes for Education and for Research and Innovation.
(b) To generate research collaboration in fields of common interest with social and/or
economic impact and especially within the scope of EU Education and EU Research and
Innovation Programmes.
(c) To promote high quality teaching and learning through academic exchange and
development programmes of academic and professional services staff, and students among
the members of the Network.
(d) To establish knowledge exchange on best practice in university governance and
organisation, with a particular focus on Open Science and Graduate Employability.
(e) To establish dual, multiple or joint international degrees according to separate agreements:
Bachelor’s, Master’s and PhD programmes.
SECTION III
MEMBERS
ARTICLE 7 .- FOUNDING MEMBERS
The founding members of the Network are the universities and institutions of higher education
listed in Appendix 1.
The Network has the goal of ensuring a number of members that is manageable in size for the
accomplishment of activities.
ARTICLE 8 .- NEW MEMBERS
The admission of new members must be approved by the General Assembly.
Candidate universities may be proposed by the Executive Board or by at least three members of
the Network. Candidate universities and institutions of higher education must demonstrate an
orientation towards research that makes a difference to society, a commitment to
internationalisation and Open Science, a focus on teaching quality, an emphasis on graduate
employability and a responsibility towards a global, multicultural and diverse society. An analysis
of the suitability of the candidate universities shall be undertaken by the Executive Board, which
will issue a recommendation to the General Assembly.
The requirements for admission as a new member of the Network are:
(a) To be a European University or a European Institution of Higher Education.
(b) To be included, or have been included at least for one year, in the QS ranking Top 50 under
50, the THE Young University Rankings, or any other alternative ranking of similar nature
(young universities) that may appear in the future.
(c) The affirmative vote of at least two-thirds of all members of the Network present or
represented at the time of voting.
The new members must accept the provisions of these Bylaws and any other rules adopted by the
Network before their entry.
ARTICLE 9 .- OBLIGATIONS OF MEMBERS
The members of the Network shall have the following duties:
(a) Observe the provisions of these Bylaws, including the principles stated in its preamble, in
particular those related to the goals and activities of the Network.
(b) Comply with the resolutions adopted by the Executive Board or the General Assembly of
the Network.
(c) Pay the yearly Network membership fees established by the General Assembly (the
membership fees are due per calendar year and for the entire year. Membership fees shall
be the same for each member).
ARTICLE 10 .- RIGHTS OF MEMBERS
The members of the Network shall have the following rights:
(a) Participate in the activities of the Network and in the Network governing and
representative bodies, to attend the General Assembly and to exercise the right to vote,
according to these Bylaws.
(b) Be informed about the composition of the Network governing and representative bodies,
the Network financial statements and the development of its activities.
(c) Be informed and heard prior to being excluded from membership pursuant to the Network
rules.
(d) Challenge any decisions of the bodies of the Network deemed contrary to law or to these
Bylaws or other regulations.
ARTICLE 11 .- LOSS OF MEMBERSHIP
Membership shall terminate by:
(a) Voluntary withdrawal, which can take place at any time upon written notification or by e-
mail to the Network’s President and Vice-President, with copy to the Secretary General.
The withdrawal will not entail the return of any fees paid or the cancellation of any fee due
to that date.
(b) Withdrawal due to a disagreement with an increase of membership fees. Fee changes do
not apply to members that submit their membership resignation prior to the increased
membership fee being due.
(c) Exclusion, by decision adopted by the General Assembly to that effect, for not complying
with this Bylaws, including the non-payment of membership fees agreed to by the General
Assembly for two consecutive years.
The loss of membership does not entitle to a refund of the membership fee.
SECTION IV
GOVERNING BODIES
ARTICLE 12 .- BODIES
The governing bodies of the Network are the General Assembly and the Executive Board.
The General Assembly, by prior request of the Executive Board or by its own initiative, may agree
on the creation of working groups or other bodies for the implementation of specific activities.
These working groups or bodies are accountable to the General Assembly - or, by decision of the
General Assembly, to the Executive Board - for their activities.
CHAPTER 1.
GENERAL ASSEMBLY
ARTICLE 13 .- COMPOSITION
The General Assembly of the Network is its highest decision-making body and all members are
part of it. Members shall be represented at the General Assembly by their legal representative who
may delegate this capacity. In case of delegation the name of the person shall be communicated in
writing or by e-mail to the Secretary General in advance of the meeting. This delegation is not
permanent and is only valid for the given meeting.
The resolutions adopted at the General Assembly shall bind all members of the Network.
ARTICLE 14 .- GENERAL ASSEMBLY SESSIONS
The General Assembly shall meet in regular session at least once a year at a time and place agreed
by the previous General Assembly, or, failing that, by the Executive Board. To the extent that
circumstances permit, it is to be hosted by a different member of the Network each time on a
rotating basis.
The General Assembly shall also meet whenever it is considered necessary by the Executive Board
or if requested by at least 1/5 of the members of the Network (or three members if the number of
members is equal to or less than fifteen), indicating the matters to be included in the agenda. In
this case, the extraordinary General Assembly must be convened from at least eight days and no
later than one month from the request. All the matters which were the object of the request must
necessarily be included in the agenda.
ARTICLE 15 .- CONVENING AND CONSTITUTING THE GENERAL ASSEMBLY
The General Assembly official convocation shall be sent to the members at least one month prior
to the date of the General Assembly. This notification shall be done either in writing or by e-mail
with delivery receipt indicating the date of the meeting, time and venue, as well as providing details
of the agenda. Any member of the Network may request to the Executive Board to add new items
to the agenda of a General Assembly Meeting. The exercise of this right must be carried out by
written notice or by e-mail to the President with copy to the Secretary General, within the period
of ten days after sending out the convocations to the General Assembly meeting.
The formal confirmation of the convocation, the final agenda and documentation of the meeting
(including the candidates for nomination whenever appropriate) should be sent out at least eight
days prior to the date of the meeting. The approval of the annual accounts and of the budget of the
following years will occur according to the terms set by law.
The notification timing and agenda of extraordinary meetings will be communicated according to
the terms indicated in Article 14, paragraph 2.
A member can be represented at meetings of the General Assembly by another member of the
Network provided that this request is made in writing or by email and that is received by the
Secretary General before the start of the meeting.
A member can only represent one single other member at the same time.
ARTICLE 16 .- ADOPTION OF RESOLUTIONS
The General Assembly shall take decisions and adopt resolutions by a majority of the members
present or represented at the time of voting. No decision or resolution will be taken unless a
quorum of at least one third of the total number of members entitled to vote is present or
represented. This without prejudice to any other particular rule defined in these Bylaws.
Every member shall have one vote. Votes may be cast personally or by proxy. No member shall
be entitled to vote at the General Assembly unless all fees due to the Network have been paid.
If especially agreed by two-thirds of the members, the General Assembly can meet via a
videoconference system. Resolutions can be voted in writing or by online means if agreed by two-
thirds of the members.
ARTICLE 17 .- GENERAL ASSEMBLY COMPETENCIES
The General Assembly shall:
(a) Ensure compliance with the goals and the implementation of activities of the Network
established in these Bylaws or agreed by the Network.
(b) Approve the biennial work plan of the Network, proposed by the Executive Board.
(c) Approve the annual budget, which in no case shall exceed the amount available annually
by the Network through membership fees, external incomes or previous years’ remnants.
(d) Approve any modification of the Network annual budget.
(e) Approve the annual accounts and annual report of the Network.
(f) Elect the President and the Executive Board members, remove them from office and
enforce their authority.
(g) Approve decisions of a financial nature outside the agreed annual budget (expenses or no
profits) for amounts higher than 40.000€ and authorize the President, as the representative
of the Network, to sign any contracts related to these decisions. These decisions will in no
case exceed the amount available by the Network through membership fees, external
incomes or previous years’ remnants.
(h) Establish, if appropriate, the annual fee of the members of the Network, and the entry fee
of new members, if so provided. Membership fees changes will not apply to the calendar
year where the decision is made.
(i) Approve the admission of new members.
(j) Decide on the exclusion of members for not complying with these Bylaws, including the
non-payment of membership fees agreed to by the General Assembly for two consecutive
years.
(k) Approve the creation of working groups or other bodies, and entrust to them any functions
except those of the General Assembly or Executive Board which are non-delegable.
(l) Establish, if appropriate, the annual fee of the members of the Network, the entry fee of
new members, if so provided, and any other contribution it deems appropriate to finance
the activities of the Network. Membership fees changes will not apply to the calendar year
where the decision is made.
(m) Approve the amendment of these Bylaws in accordance with the provisions of Section VI.
(n) Approve the dissolution of the Network in accordance with the provisions of Section VII.
(o) Take any other decision that its members deem appropriate and conducive to the fulfilment
of the goals and activities of the Network.
(p) Decide through an affirmative vote by the majority of the members present and represented
on the imposed withdrawal of a member of the Executive Board.
ARTICLE 18 .- SESSION MINUTES
The Secretary General shall draw up the minutes of each meeting, summarizing the deliberations,
the decisions taken and the results of voting. The draft minutes wil be sent to all members within
14 days of the meeting. If no comments are received within 30 days of sending the minutes, they
will be deemed accepted and shall be then signed by the Secretary General with the approval of
the President. If comments and changes are received within the given time, they will be
incorporated in so far as possible into an updated version that will be sent back to the members for
their approval within 14 days, after which they will be signed by the Secretary General with the
approval of the President and noted at the next meeting. In the event of any remaining disagreement
in relation to the minutes, they will be discussed at the next General Assembly meeting and shall
be approved at the meeting.
CHAPTER 2.
EXECUTIVE BOARD
ARTICLE 19 .- NATURE OF THE EXECUTIVE BOARD
The representation of the Network and its management is the responsibility of the Executive
Board. Its composition must reflect as much as possible the diversity of the Network.
ARTICLE 20 .- COMPOSITION
If the number of members is sufficient, the Executive Board shall consist of five members, three
of whom shall occupy the positions of President, Vice-President and Treasurer.
The members of the Executive Board will be natural persons elected from the members of the
Network. If a member of the Executive Board ceases to be employed or associated with a member
of the Network then he or she will cease to be a member of the Executive Board and the vacancy
will be filled by election at the next General Assembly meeting.
ARTICLE 21 .- EXECUTIVE BOARD DUTIES
The duties of the Executive Board shall be as follows:
(a) Ensure the implementation of the decisions adopted by the General Assembly.
(b) Submit applications for admission of new members to the approval of the General
Assembly.
(c) Promote the consolidation of programs and the implementation of activities to meet the
objectives of the Network.
(d) Develop the Network’s Strategic Plan and submit it to the General Assembly for approval.
(e) Approve decisions outside the agreed annual budget (expenses or no profits) for amounts
higher than 10.000€ and lower than or equal to 40.000€, and authorize the President, as the
representative of the Network, to sign any contracts related to these decisions.
(f) Manage the accounting of the Network providing a true and fair view of the assets and
financial situation of the entity under applicable rules, as well as preparing the financial
statements, the annual report and the budget of the Network and submitting them to the
General Assembly for approval. The financial and accounting year shall coincide with the
calendar year.
(g) Keep a record of minutes of meetings of the Network.
(h) Propose amendments to the Bylaws and submit them to the General Assembly for approval.
(i) Propose the creation of working groups or other bodies to carry out specific activities to
the General Assembly.
(j) Respond to requests and applications submitted by members of the Network.
(k) Disseminate activities, conferences and courses sent to it by the members of the Network.
(l) Keep an updated list of the Network members.
ARTICLE 22 .- CONVENING, QUORUM AND ADOPTION OF RESOLUTIONS IN THE EXECUTIVE
BOARD MEETINGS
The Executive Board shall meet on at least two occasions each year. The Executive Board may be
convened at the initiative of the President at any time he or she deems appropriate (at least twice
a year). It shall also be convened at the request of at least three Executive Board members, who
must submit a written request to this effect to the President with copy to the Secretary General. In
this case, the meeting shall be convened no later than fifteen days from the request.
The invitation shall be sent in writing or by e-mail at least 15 days before the date of the meeting,
indicating the date, time and place where the meeting will be held and the agenda.
The Executive Board shall be considered to have a valid quorum if at least three of its members
are in attendance or are represented. In the absence of the President, the Vice-President will act as
the chairperson.
Decisions by the Executive Board shall be made by simple majority of the attending members, and
shall be recorded in the Executive Board minutes.
Executive Board meetings may be held at distance by electronic means that guarantee the identity
of the attendants.
The Board will be able to invite people to attend meetings in a non-voting capacity.
ARTICLE 23 .- PRESIDENT AND VICE-PRESIDENT
The President of the Executive Board shall also be the President of the Network. The President
shall be the representative of the Network and the chairperson of any Network meeting. In the
President’s absence or in case of inability, the Vice-President shall assume the President functions.
For a normal operation of the Network, the President, in his or her capacity of representative of
the Network, shall approve expenses for amounts no larger than 10.000€, undertaking also any
contracts related to the aforementioned expenses. For the signing of other contracts with amounts
higher than 10.000€ the President shall be authorized by the Executive Board and over 40.000€ by
the General Assembly.
ARTICLE 24 .- TREASURER
The Treasurer shall oversee the keeping of accounting and control the financial resources of the
Network. However, it is the Network as a whole the sole responsible for any fiscal liability. The
Treasurer shall check the accounts on a regular basis and report to the General Assembly, at least
once per year.
ARTICLE 25 .- SECRETARY GENERAL
A Secretary General may be appointed by the Executive Board. The Secretary General does not
need to be an Executive Board member or a member of the General Assembly. The Secretary
General shall be responsible for the successful operational leadership and management of the
Network, including its secretariat, according to the Network’s Strategic Plan established by the
Executive Board and approved by the General Assembly. He/she shall be responsible for holding
the minutes of the General Assembly and Executive Board meetings to which he/she is invited, as
well as for the issuance of certificates of acts, decisions or agreements. The President or the
Executive Board may decide to delegate a number of tasks and responsibilities to the Secretary
General. It is also the task of the Secretary General to keep the accounts and manage the financial
resources of the Network with the supervision and approval of the Treasurer. The Executive Board
will develop and issue rules of procedure which will specify tasks that can be delegated to the
Secretary General and conducted by him/her on his/her own responsibility.
ARTICLE 26 .- ADMINISTRATIVE OFFICER
An Administrative Officer may be appointed by the Executive Board to provide assistance to the
Executive Board and to the Secretary General. The Administrative Officer does not need to be an
Executive Board member or member of the General Assembly.
In the absence of appointment of an Administrative Officer, her / his duties can be fulfilled by the
Secretary General or by any other member or third party designated by the Executive Board.
ARTICLE 27 .- SALARIES
Executive Board members shall not be remunerated. Expenses linked to their participation in the
Executive Board activities and in the management of the Network shall be borne by their
institutions.
Salaries and costs associated with the Secretary General, the Administrative Officer or any other
staff related to the execution of the Network’s activities shall not exceed the yearly budget and
shall be determined yearly by the General Assembly.
SECTION V
ELECTION OF THE EXECUTIVE BOARD
ARTICLE 28 .- VOTERS AND CANDIDATES
The Executive Board members shall be elected under the rules contained in this Section.
Voters and candidates must all be members or associated with members (in case of candidates) of
the Network in compliance with the obligations listed in Article 9. Each member may nominate a
candidate. Eligible candidates shall be natural persons. Candidates for the position of the President
of the Network shall be Rectors, Presidents or Vice-Chancellors.
As far as possible, the Executive Board members will ensure diversity in its composition and
whenever possible be represented by an equivalent proportion of men and women except for the
President, whose gender is not considered for this purpose.
ARTICLE 29 .- CANDIDATURES
Nominations shall be submitted to the Secretary General following a call for nominations that will
open at least one month before the General Assembly entitle to elections take place. The members
of the Network will be informed about the candidates up to election by email, when sending the
final agenda and documentation of the General Assembly, according to Article 15 of this Bylaws.
Each member cannot have more than one person in the Executive Board that is affiliated to the
institution.
ARTICLE 30 .- ELECTION AND TERM
There will be an alternation of one year in the elections of the President and the elections of the
other members of the Board (4 members). For both, the elections of President and the 4 members
of the Board, the candidature (in case of the President) and candidatures (in case of the members
of the Board) obtaining the simple majority of votes shall be elected. For the election of the 4
members of the Board, once the 4 members are elected, the President will decide on the positions
of Vice-President and Treasurer.
The term of the President’s mandate shall be of two years, renewable (by re-election) for a second
mandate of two additional years in the same position. The term of the Executive Board members’
mandate shall be of two years, renewable (by re-election) for a second mandate of two additional
years in the same position. A former President could be nominated to be a member of the Board
and viceversa.
ARTICLE 31 .- WITHDRAWAL
A member of the Executive Board shall withdraw for one of the following reasons:
(a) Voluntary resignation communicated in writing to the Executive Board. The Executive
Board shall inform the General Assembly in the following meeting.
(b) Decision made by the General Assembly through the affirmative vote of a majority of the
members of the Network.
(c) Expiration of their term at their institution.
(d) If they cease association or employment with a university or institution of higher education
that is a member of YERUN.
Vacancies will be filled by election by the General Assembly at the earliest opportunity to fulfil
the available position for the remaining period of mandate.
SECTION VI
AMENDMENTS TO THE BYLAWS
ARTICLE 32 .- AMENDMENTS
These Bylaws may only be amended by a resolution of the General Assembly adopted by the
affirmative vote of two-thirds of the members of the Network present or represented, provided that
at least two-thirds of the members are present or represented at the meeting of the General
Assembly convened for this purpose. If two-thirds of the members are not present or represented
at the first meeting, a second meeting may be convened which may validly deliberate, irrespective
of the number of members present or represented, and adopt the amendments provided for in the
first meeting.
Any member of the Network may submit a proposed amendment to the Executive Board of the
Network, who is also entitled to propose amendments on its own initiative. Any proposed
amendment shall be referred to the General Assembly and shall be included in the agenda of its
next meeting.
SECTION VII
DISSOLUTION OF THE NETWORK
ARTICLE 33 .- DISSOLUTION AND LIQUIDATION
Without prejudice of the situations set out by law, the dissolution of the Network shall take place
by a resolution adopted by its General Assembly. The dissolution agreement must be adopted by
the affirmative vote of two-thirds of all members of the Network present or represented, provided
that at least two-thirds of the members are present or represented at the meeting of the General
Assembly convened for this purpose. If two-thirds of the members are not present or represented
at the first meeting, a second meeting may be convened which may validly deliberate, irrespective
of the number of members present or represented, and adopt the dissolution agreement provided
for in the first meeting.
The General Assembly shall designate the liquidator(s), preferably among the members of the
Executive Board or a lawyer specialised in liquidation proceedures.
All assets remaining after the liquidation of the Network will be donated to an NGO active in the
education or research sector.
SECTION VIII
TEMPORARY PROVISIONS
ARTICLE 34 .- TEMPORARY PROVISIONS
The first financial year will end on December 31, 2020.
The first ordinary general meeting will be convened before June 30, 2021.
The first Executive Board will be composed as follows:
- Prof. Juan Romo, President, whose term ends on 30 September, 2019;
- Prof. Dr. Martin Paul, Vice-President, whose term ends on September 30, 2020;
- Prof. Corrado Cerruti, Treasurer, whose term ends on September 30, 2020;
- Prof. Brian MacCraith, whose term ends on September 30, 2020;
- Monica Illsley, whose term ends on September 30, 2020.
The first Secretary General will be Silvia Gomez Recio.
The first registered office of the Network will be Rue de Trône, 62 – 1050 Bruxelles.
REPEAL PROVISIONS
Article 8 in these Bylaws overrides the Letter of Intent statement regarding the admission of new
members and in general the quality of member.
