Sujeto a las condiciones aquí fijadas, Praxia Energy garantiza que el sistema soporte suministrado por Praxia Energy no mostrará daños estructurales significativos durante un periodo de 25 años desde la fecha aquí

establecida (el “Periodo de Garantía”).

Las obligaciones de Praxia Energy durante este plazo de Garantía están limitadas a reponer cualquier elemento de la estructura tal como fue suministrada, en el extremadamente improbable caso de no cumplir con la

estabilidad estructural por cualquier motivo, dentro de los 25 años del periodo de Garantía.

Para reclamar esta Garantía, Praxia Energy debe ser notificada en cinco días desde la identificación de un problema potencial con los elementos de la estructura suministrados, dando a Praxia Energy en todo caso una

oportunidad razonable de inspeccionar la estructura.

Praxia Energy ha llevado a cabo investigaciones del tipo de cubierta y ambiente, cálculos estructurales y cálculos específicos de nieve y viento que muestran que las funciones de las estructuras cumplirán su propósito durante

25 años. Todos los materiales, uniones y elementos de la estructura suministrados por Praxia Energy serán los adecuados y no se deteriorarán en grado relevante durante este periodo de tiempo para la finalidad de

estabilidad estructural.

Es condición básica para reclamar esta Garantía que antes de llevarse a efecto, la estructura suministrada ha de estar totalmente pagada de acuerdo con los términos del contrato. Esta Garantía no es aplicable a

fallos o daños causados por:

• Sobrecargas estructurales o deterioro causado por manipulaciones defectuosas;

• Fuego, relámpagos, inundaciones, explosiones, terremotos, actos de Guerra, disturbios, alborotos, caída de objetos, vandalismo, movimiento de tierras o de las cimentaciones ;

• Cargas de viento superiores a aquellas recogidas en las Normas de aplicación;

• Corrosión u otros efectos resultantes de la acumulación de contaminantes o de contaminación atmosférica anormal, condensación o contacto con gases, humos o agentes químicos; (incluyendo contaminación del trafico);

• Cualquier daño causado al acero por el cliente antes, durante o después de haber erigido/instalado la estructura, incluyendo (sin límites), cualquier daño causado por el cliente durante el transporte;

• Deterioro estructural causada por acumulación de suciedad o deshechos;

• Cualquier alteración, extensión, modificación de la estructura soporte tras haber sido instalada, salvo que fuera llevada a cabo por un contratista aprobado o cualquier otra persona debida y apropiadamente aprobada

por Praxia Energy;

• Prolongada exposición a cualquier temperatura fuera del rango -20°C to 60°C, independientemente de la causa;

Sujetos al párrafo de abajo, Praxia Energy está de acuerdo en que si cualquier término de esta Garantía confieren beneficios a cualquier persona (“una tercera parte”) distinta a las dos partes referidas en esta Garantía y/o

al beneficiario o cesionario en virtud del siguiente párrafo, ese término no puede ser reclamado por esa tercera parte

Esta Garantía podría ser asignada o transferida a un nuevo dueño del Proyecto, sujeta siempre a previa notificación por escrito a Praxia Energy. El nuevo beneficiario podrá disfrutar de la Garantía, sujeta a los términos y

condiciones aquí fijadas.

Esta Garantía constituye un acuerdo entre partes en relación a este asunto y sustituye y finaliza cualquier otra declaración pre-contractual.

Esta Garantía debe estar sujeta e interpretada de acuerdo a la Legislación Española y las partes deben quedar sujetas a la jurisdicción de las cortes españolas.

25 Year Guarantee (Subject to environmental corrosion analysis)

Subject to the conditions set out below, Praxia Energy guarantees that the framing system supplied by Praxia Energy will not exhibit significant structural damage for a period of 25 years from the date hereof (the “Warranty

Period”).

The obligations of Praxia Energy under this guarantee are limited to an obligation on Praxia Energy to replace any elements of its frame to the original point of supply in the extremely unlikely event of noncompliance of the

structural stability caused by whatever reason, within the 25 year guarantee period.

To invoke this Guarantee Praxia Energy must be notified in writing within five days of the identification of any defect indicating a potential problem with the elements of the frames and Praxia Energy given a reasonable

opportunity to inspect the frames.

Praxia Energy has carried out type roof and environmental surveys, structural calculations and location specific snow and wind loads calculations that show that the function of the PV racking system, will be fit for purpose for

25 year. All materials, junctions and elements of the frames and foundations supplied by Praxia Energy will be suitable and not deteriorate to any significant degree for this period.

It is a further condition of this guarantee that before it be put into effect, the frame supplied, be fully paid for in accordance with the terms of the contract.

This guarantee will not apply to failure or damage caused by:

• Structural over stressing or for deterioration caused by mishandling;

• Fire, lightning, flood, explosion, earthquake, acts of war, riot, civil and commotion, radiation, falling object, vandalism, ground movement, movement of foundation;

• Wind loads in excess of those predicted by the applicable standards;

• Corrosion or other effects arising from entrapment of pollutants or from abnormal atmospheric pollution, condensation or from contact with gases, fumes or chemicals; (including traffic pollution)

• Any damage whatsoever to the steel caused by the Customer before, during or following erection/ installation or construction, including (without limit), any damage caused by the Customer during transportation;

• Structural deterioration caused by accumulation of dirt or debris;

• Any alteration, extension, modification of the mounting system after erection, save if undertaken by an approved contractor or other person duly and properly approved by Praxia Energy

• Prolonged exposure to any temperature outside of the range -20°C to 60°C howsoever caused.

Subject to the following paragraph below, Praxia Energy agree that if any terms of this Guarantee purports to confer a benefit on any person (“a third party”) other than (i) a party to this Guarantee,

(ii) and/or the assignee or transferee pursuant to the following paragraph below, that term shall not be enforced by any such third party.

This Guarantee may be assigned or transferred to a new owner of the project subject to prior written notification to Praxia Energy of the intended assignee. The assignee will have the benefit of the unexpired term of the

guarantee, subject to the terms and conditions set out herein.

This Guarantee constitutes the entire agreement between the parties in relation to its subject matter and supersedes and extinguishes all or nay pre-contractual statements hereto. This Guarantee shall be subject

to and construed in accordance with Spanish Law and the parties submit to the jurisdiction of the Spanish court.
