Tenedores de deuda argentina adherentes a los canjes 2005-2010

En la ltima semana se ha difundido a travs de la prensa informacin incorrecta,
malintencionada y contradictoria acerca del estado actual de las obligaciones asumidas porla Repblica Argentina en los Prospectos 2005 y 2010 y en el Contrato de Fideicomiso de
fecha 2 de junio de 2005 modificado el 30 de abril de 2010 (Trust Indenture), debido alas errneas e impropias apreciaciones de la Corte de Distrito Sur de Nueva York en el
marco del caso NML Capital Ltd., et al, v. Republic of Argentina; del comunicado de
prensa publicado por el Special Master designado en dicha causa, Sr. Daniel Pollack, confecha 30 de julio de 2014; y del aviso legal publicado por el Bank of New York Mellon
(BNY Mellon) con fecha 31 de julio de 2014.
Por el presente aviso legal,la Repblica Argentina cumple su obligacin de garantizar a los
Tenedores de Deuda Argentina adherentes a los Canjes de Deuda Soberana de 2005 y 2010(Bonistas) su derecho a conocer la precisa, completa y correcta informacin sobre el
estado actual del cumplimiento de las obligaciones de la Repblica bajo el TrustIndenture,y los derechos y remedios legales que los asisten; en virtud de que los fondosoportunamente depositados por la Repblica Argentina en la cuenta del Agente Fiduciario
[BNY Mellon] en el Banco Central de la Repblica Argentina son patrimonio de su
propiedad exclusiva.
En primer lugar, y tal como fuera informado en los Avisos Legales de fechas 27 de juniode 2014 y 7 de julio de 2014, la Repblica Argentina ha realizado en tiempo y forma el
pago de los importes correspondientes al vencimiento de intereses de los Nuevos Ttulos
emitidos en el marco de los Canjes 2005- 2010 (Bonos Reestructurados).Enconsecuencia, no ha habido un Evento de Incumplimiento bajo los trminos del TrustIndenture o de los Bonos Reestructurados.
En este sentido, los trminos del Trust Indentureson claros y precisos:De acuerdo a la Seccin 4.1 (i) la Mora en el Pago slo se produce cuando la Repblica
incurra en mora en el pago del capitalo incurra en mora en el pago de los intereses sobre
cualquiera de los Ttulos. Segn la Seccin 3.5 del Trust Indenture, la Repblica efectael pago del capital y los intereses (incluidos los Montos Adicionales) sobre los Ttulos de
Deuda mediante el pa[go] o la orden de que se pague a una cuenta del Fiduciario [BNY
Mellon]un monto quesea suficiente para pagar el monto total de los intereses(incluidos los Montos Adicionales) o el capital o ambos, segn corresponda, que resulte
vencido respecto de esos Ttulos de Deuda en esa Fecha de Pago. Hasta que dichos fondos
no sean distribuidos a las cuentas de los Bonistas, esos montos sern mantenidos en
fiducia por el Fiduciario en beneficio de los Tenedores con derecho a los mismos, y la
Repblica no tendr inters alguno en dichos montos.No hay ninguna duda de que la Repblica Argentina ha pagado en tiempo y forma losmontos correspondientes a los vencimientos de los Bonos Reestructurados de la manera
exigidapor el Trust Indenture, mediante el pago de los fondos en una cuenta delFiduciario. En otras palabras, la Repblica ha pagado. La cuestin de la distribucin de los
fondos es un asunto diferente, que se suscita entre el Agente Fiduciario y los Bonistas, yque ha surgido luego de que la Repblica ya ha cumplido con sus obligaciones de pagobajo el Trust Indenture y los Bonos Reestructurados.

En segundo lugar, la Repblica Argentina reconoce el derecho absoluto e incondicional delos Bonistas al cobro de los montos depositados por la Repblica en la cuenta fiduciaria del
Agente Fiduciario (BNY Mellon),siendo ese patrimonio propiedad exclusiva de losBonistas.Por tales motivos, con fecha 3 de julio de 2014 se remiti una carta dirigida alBNY Mellon, en su carcter de Agente Fiduciario, a los fines de intimarlo a que cumpla
con sus obligaciones asumidas en las Secciones 3.1, 4.5 y 4.9 del Trust Indenture dedistribuir los fondos de los Bonistas que fueron depositados por la Repblica.[i]
Sin embargo, como resultado de los procedimientos judiciales en curso ante la Corte delDistrito Sur de Nueva York en la causa NML Capital Ltd., et al, v. Republic of Argentina,
que involucra a un pequeo nmero de acreedores que no participaron en los Canjes de
2005-2010, algunos de los pagos oportunamente realizados por la Repblica Argentina anno han llegado a las cuentas de los Bonistas que participaron de los referidos Canjes.
Este factor de riesgo ya haba sido informado por la Repblica Argentina en los Prospectos
de las Ofertas de Canje de su Deuda Soberana de los aos 2005 y 2010, explicandoexpresamente que: [l]os pagos de la Argentina en relacin con la Oferta (incluyendo los
pagos adeudados por Argentina sobre lo acordado en la Oferta) o para los tenedores de
Ttulos Nuevos podrn ser afectados, ordenados o de otro modo cuestionados por los
tenedores que se negaron a participar en la Oferta o por otros acreedores de Argentina.
En aos recientes, los holdouts han usado el litigio contra Estados Soberanos (por
ejemplo, contra Peru y Nicaragua) para embargar o interrumpir pagos realizados por
deudores soberanos a, entre otros, bonistas que aceptaron nuevos ttulos en ofertas de
reestructuracin de deudas. Argentina ha estado sometida a litigios de ejecucin en
Alemania, Estados Unidos e Italia. Algunas de estas acciones han conseguido sentencias
contrarias a Argentina.No se puede asegurar que algn acreedor holdout no sea capaz
de interferir, a travs de embargos, medidas cautelares u otros medios, los pagos
realizados en relacin a esta oferta (incluyendo cualquier pago debido por Argentina enun acuerdo de Canje).[ii]
La Repblica Argentina y ciertos Bonistas destinatarios del pago han protestado
vigorosamente contra esta demora en el proceso de cobro, aunque, al momento de lapresente comunicacin, el cobro permanece bloqueado en la cuenta del Agente Fiduciario
en la Repblica Argentina.
En tercer lugar, las afirmaciones realizadas por la Corte de Distrito Sur de Nueva York ypor el Special Master designado en el caso NML Capital Ltd., et al, v. Republic ofArgentina en relacin a una situacin de incumplimiento son incorrectas e inapropiadas por
la falsedad de las mismas,y exceden sus respectivas competencias. El citado litigio
involucra una disputa entre ciertos Fondos Buitre y la Repblica Argentina en relacin a losBonos del Fiscal Agency Agreement de 1994 un Ttulo totalmente distinto a los Bonos
Reestructurados emitidos bajo el Trust Indenture.
La Corte de Distrito Sur de Nueva York no tiene jurisdiccin sobre los BonosReestructurados en 2005 y 2010, y los Bonistas Reestructurados y el BNY Mellon noson parte en el litigio NML Capital Ltd., et al, v. Republic of Argentina. La decisinsobre la existencia o no de un Evento de Incumplimiento bajo el Trust Indenture de2005 2010 se encuentra ms all de la autoridad de la Corte de Distrito Sur deNueva York, ya que se tratara de un litigio diferente al actualmente bajo suconocimiento, que involucrara partes diferentes y aplicara tambin un contratodiferente al Fiscal Agency Agreement de 1994.

En el mismo sentido, la labor del Special Master es organizar conversacionesconfidenciales con y entre las partes; no publicar comunicados de prensa especulando sobre
las consecuencias de un acuerdo o la falta de acuerdo. En cualquier caso, los comentarios
del Special Master carecen de cualquier autoridad, ya que no posee ninguna competenciapara interpretar el Trust Indenture, el que en ningn momento fue sometido a su
interpretacin.En cuarto lugar,la tipificacin default realizada por la International Swaps andDerivatives Association (ISDA) en relacin a ciertos Swaps de IncumplimientoCrediticio (CDS) vinculados con la deuda soberana de la Repblica Argentina, no tiene
relacin con los derechos de los Bonistas bajo el Trust Indenture o los Bonos
Reestructurados. El Contrato de Fideicomiso establece varios supuestos para elacaecimiento de un Evento de Incumplimiento, pero una tipificacin por parte de la ISDAno es uno de los supuestos para considerar que se ha configurado un Evento deIncumplimiento bajo el Trust Indenture.Mientras que la decisin de la ISDA podrafectar a aquellos tenedores de CDS, no genera ningn derecho u obligacin en virtud de
los trminos del Trust Indenture o los Bonos Reestructurados.
De hecho, se han realizado denuncias tanto ante la Comisin Nacional de Valores de la
Repblica Argentina (CNV) como ante la Securities and Exchange Commission de losEstados Unidos de Amrica (SEC) por posibles acciones de la firma ElliotManagement Corporation y sus sociedades controladas y/o vinculadas ante la presuncin de
existencia de conflictos de intereses dado que dicha Corporacin: (i) forma parte, en su
carcter de Voting Non-dealer en el Comit de Determinacin de Crditos Derivados de
ISDA; (ii) persigue estrategias judiciales agresivas contra la Repblica Argentina en elmarco de la citada causa NML Capital Ltd., et al, v. Republic of Argentina, afectando la
distribucin de los pagos realizados en tiempo y forma, respecto de los vencimientos
correspondientes a los Bonos Reestructurados emitidos en los Canjes de 2005 y 2010; y(iii) podra poseer CDS aplicables a los Bonos Reestructurados, los cuales han
incrementado su valor en manera sustancial como resultado de la tipificacincomo
default por parte de la ISDA.
En quinto lugar,la Repblica Argentina como lo ha evidenciado desde el ao 2005posee los recursos y la voluntad de hacer frente a los compromisos asumidos en los Canjes
de 2005 y 2010.
Asimismo, la Repblica Argentina continuar intimando al Agente Fiduciario para quecumpla las obligaciones a su cargo establecidas en el Trust Indenture e instando a la
Justicia de los Estados Unidos de Amrica a que remueva los impedimentos que
actualmente interfieren con la correcta distribucin de los pagos que la Repblica Argentinaha realizado.
Por ltimo,le recordamos a los Bonistas, que existen varios derechos y sus consecuentesremedios judicialesa su disposicin en virtud del Trust Indenture, para el caso que elAgente Fiduciario incumpla con sus obligaciones, en particular la de transferir los importes
por los pagos que la Repblica Argentina ha realizado a su favor.A ttulo meramente
ejemplificativo, cabe sealar que el Artculo 5.9.c del Trust Indenture dispone que lostenedores de una mayora de capital acumulado de los ttulos de deuda en circulacin, de
cualquier serie, podrn remover al Agente Fiduciario del cargo en cualquier momento y
designar a un sucesor; y el Artculo 7.1 prev las modificaciones que podrn realizarse al
Convenio.[iii]

Todo ello, sin perjuicio de la posibilidad de promover activamente las otras acciones queresulten pertinentes para hacer valer sus derechostoda vez que se le estn reteniendo
indebidamente fondos que son de su exclusiva propiedad, entre ellas la de apelar las
rdenes judiciales de la Corte de Distrito Sur de Nueva York que consideren contrarias asus intereses, o de iniciar las nuevas acciones judiciales que estimen corresponder. No
obstante, la Repblica Argentina continuar desarrollando los cursos de accin destinados adefender y preservar sus derechos y los de los Bonistas.
El presente aviso no deber interpretarse o entenderse como asesoramiento legal por partede la Repblica Argentina.
El Ministeriode Economa y Finanzas Pblicas los mantendr regularmente informados
sobre esta situacin.
[i] El Trust Indenture (de fecha 2 de junio de 2005 modificado el 30 de abril de 2010) en sus partes pertinentes establece:
Section 3 1 Payment of Principal and Interest
The Republic covenants and agrees that it will duly and punctually pay or cause to be paid the principal of and interest (including Additional Amounts) on each of the
Debt Securities and any other payments to be made by the Republic under the Debt Securities and this Indenture to the Trustee, at the place or places, at the
respective times and in the manner provided in the Debt Securities and this Indenture.
All monies (save for its own account) paid to the Trustee under the Debt Securities and this Indenture shall be held by it in trust for itself and the Holders of Debt
Securities in accordance with their respective interests to be applied by the Trustee to payments due under the Debt Securities and this Indenture at the time and in
the manner provided for in the Debt Securities and this Indenture
Section 4 5 Application of Proceeds
Any monies collected by the Trustee pursuant to this Article shall be applied in the following order at the date or dates fixed by the Trustee and, in case of the
distribution of such monies on account of principal or interest, upon presentation of the Debt Securities of the Series in respect of which money has been collected and
stamping (or otherwise noting) thereon the payment, or issuing Debt Securities in reduced principal amounts in exchange for the presented Debt Securities if only
partially paid, or upon surrender thereof if fully paid:
FIRST: To the payment of all amounts due to the Trustee or any agent or Appointee thereof under or in connection with this Indenture or the Debt Securities of any
Series including (without limitation) amounts due under Section 5.6;
SECOND: In case the principal of the Debt Securities of such Series shall not have become and be then due and payable, to the payment of overdue interest in
default on such Series of Debt Securities in the order of the maturity of the installments of such interest, with interest (to the extent that such interest has been
collected by the Trustee) upon the overdue installments of interest at the same rate as the rate of interest specified in such Debt Securities, such payments to be
made ratably to the Persons entitled thereto, without discrimination or preference;
THIRD: In case the principal of the Debt Securities of such Series shall have become and shall be then due and payable, to the payment of the whole amount then
owing and unpaid upon all Debt Securities of such Series for principal and interest at the rate of interest specified in such Debt Securities; and in case such monies
shall be insufficient to pay in full the whole amount so due and unpaid upon the Debt Securities of such Series, then to the payment of such principal and interest,
without preference or priority of principal over interest, or of interest over principal, or of any installment of interest over any other installment of interest, or of any Debt
Security of such Series over any other Debt Securities of the same Series, ratably to the aggregate of such principal and accrued and unpaid interest.
Section 4 9 Unconditional Right of Holders to Receive Principal and Interest
Notwithstanding Section 4.8, each Holder of Debt Securities sha ll have the right, which is absolute and unconditional, to receive payment of the principal of and
interest on its Debt Security on the stated maturity date for such payment expressed in such Debt Security (as such Debt Security may be amended or modified
pursuant to Article Seven) and to institute suit for the enforcement of any such payment, and such right shall not be impaired without the consent of such Holder.

Section 5 9 Resignation and Removal; Appointment of Successor Trustee
(a) The Trustee may at any time resign with respect to the Debt Securities of one or more Series by giving not less than 90 days written notice of resignation to the
Republic and by providing
notice thereof to the affected Holders at the expense of the Republic as provided in Section 12.4 below and without giving any reason therefor. Upon receiving such
notice of resignation, the Republic shall promptly appoint a successor trustee with respect to such Series by written instrument in duplicate, one copy of which
instrument shall be delivered to the resigning Trustee and one copy to the successor trustee. I f no successor trustee shall have been so appointed and have accepted
appointment within 60 days after such notice of resignation has been given, the resigning Trustee may petition any court of competent jurisdiction for the appointment
of a successor trustee, or any Holder of Debt Securities of the affected Series who has been a bona fide Holder of a Debt Security of such Series for at least six
months may, on behalf of himself and all others similarly situated, petition any such court for the appointment of a successor
trustee in respect of such Series of Debt Securities. Such court may thereupon, after such notice, if any, as it may deem proper, appoint a successor trustee with
respect to the Debt Securities of the affected Series.

(b) In case at any t ime any of the following shall occur: the Trustee shall cease to be eligible in accordance with the provisions of Section 5.8 and shall fail to resign
after written request therefor by or on behalf of the Republic or by any Holder; or the Trustee shall become incapable of acting, or shall be adjudged bankrupt or
insolvent, or a receiver or liquidator of the Trustee or of its property shall be appointed, or any public officer shall take charge or control of the Trustee or of its property
or affairs for the purpose of rehabilitation, conservation or liquidation; then, in any such case, (A) the Republic may remove the Trustee and appoint a successor
trustee
with respect to all affected Debt Securities by written instrument, in duplicate, one copy of such instrument shall be delivered to the Trustee so removed and one copy
to the successor trustee, or (B) any Holder who has been a bona fide Holder of a Debt Security of any affected Series for at least six months may on behalf of himself
and all others similarly situated, petition any court of competent jurisdiction for the removal of the Trustee and the appointment of a successor trustee or trustees withrespect to the Debt Securities of such Series.
(c) The Holders of a Majority in aggregate principal amount Outstanding of the Debt Securities of any Series may at any time remove the Trustee and appoint a
successor trustee for the Debt Securities of such Series by delivering to the Trustee so removed, to the successor
trustee so appointed and to the Republic the evidence provided for in Section 6.1 of the action in that regard taken by the Holders. If at any time there is more than
one Trustee with respect to Debt Securities of different Series issued pursuant to this Indenture, each reference to the Trustee shall be read as a reference to the
Trustee for the time being in place in respect of the relevant Series of Debt Securities. The foregoing sentence is without prejudice to Section 5.12.
(d) The Republic shall give notice of each resignation and removal of the Trustee with respect to the Debt Securities of any Series to all Holders of Debt Securities of
such Series in the manner provided in Paragraph 10 of the Terms.
(e) Any resignation or removal of the Trustee and any appointment of a successor trustee pursuant to any of the provisions of this Section 5.9 shall become effective
upon acceptance of appointment by the successor trustee as provided in Section 5.10.
Section 7 1 Modifications
(a) Any modification, amendment, supplement, request, demand, authorization, direction, notice, consent, waiver or other action provided by this Indenture or the
terms and conditions of the Debt Securities of one or more Series (each, a Modification) to this Indenture or the terms and conditions of the Debt Securities of one or
more Series may be made, given, or taken pursuant to (i) a written action of the Holders of the Debt Securities of such affected Series without the need for a meeting,
or (ii) by vote of the Holders of the Debt Securities of such affected Series taken at a meeting or meetings of Holders thereof, in each case in accordance with the
terms of this Article Seven and the other applicable provisions of this Indenture and the Debt Securities of such affected Series.
b) Except as provided in a GDP-Linked Securities Authorization and/or the terms and conditions of the Debt Securities of any Series, this Article Seven shall apply to
all Modifications to this Indenture and/or to the terms and conditions of the Debt Securities of such Series
