TOWARDS THE COLAS TEAM CUP 2019

The first edition of the Colas Team Cup in 2017 was a great success. Federating

Group employees around a major international sporting event was a challenge ...

and we did it! Gathered around common values such as going beyond one’s own

limits, team spirit, conviviality and solidarity, you made the Colas Team Cup a very

memorable moment and a new can’t-miss event.

That's why I decided to roll out the second edition of the Colas Team Cup.

Registration begins in March.

The local selections will be an opportunity for you to create a real team spirit which,

I hope, will take you on to the international finals in Paris in February 2020.

Show fair play when you participate in sports events. Applaud the athletes,

coaches and organizers who bring the Colas Team Cup to life.

This event belongs to you: build your teams and enjoy yourselves!

INTRODUCTION The Colas Team Cup is the first in-house international sports challenge organized by the Colas Group. The objectives of this Charter are as follows:

Ø to set the general organizational framework of the competition;

Ø to describe the roles and missions of every participant in the competition (organization committees, local coordinators, athletes and supporters);

Ø to set the rules for athletes to take part in the competition;

Ø to specify the rights and obligations of athletes.

Each of the above is described in detail below. The Colas Team Cup Charter applies to all participants in the competition.

Chapter 1 – Description of the Colas Team Cup

1.1. Competition The Colas Team Cup is a competition open to all adult employees of the Colas Group on permanent contracts and long-term contracts (excluding fixed-term contracts, internships, apprenticeships and temporary assignments). This competition is organized around two sports: five-a-side soccer and running. It takes place in three stages:

- March 1 to April 15, 2019: online registration at www.colasteamcup.com

- April 16 to November 17, 2019: local selection events organized for each geographical area (see 1.4 Geographical areas)

- February 26 and 27, 2020: international finals in Paris

Athletes represent their geographical area (see paragraph 1.4), not the company employing them.

1.2. Objectives

- To give all Group employees a unifying, dynamic and unforgettable experience.

- To encourage bridge building and networking: through sport and exchanges

between the teams, the employees will forge links and will create a network which may subsequently be useful to them.

- To stimulate and promote team spirit locally and on a Group level, along with

the related values: surpassing one’s own limits, conviviality, solidarity, etc.

- To emphasize human values through an exceptional event.

1.3. Stakeholders

The following parties make up the Colas Team Cup:

- "steering committee" in charge of organizing the event

- "local coordinators" in charge of managing and organizing competitions in their geographical area (see paragraph 1.4)

- athletes entered in one of the two disciplines

- supporters

1.5. The Colas Team Cup spirit

All participants and teams wishing to compete in one of the Colas Team Cup events must comply strictly with the rules of fair play set out below. Failure to do so will render them liable to be excluded from the competition. Participants must:

- take part in the sport primarily for fun;

- strictly observe and comply with all rules and never commit or deliberately try to commit any foul;

- respect the official, the referee, competitors, teammates and organizers in all

circumstances;

- accept all of the referee's decisions, never casting any doubt on his/her integrity;

- desist from winning through illegal means and cheating;

- keep their dignity under all circumstances and show that they are in control of themselves;

- prevent physical or verbal violence from dominating;

- be a good loser if applicable;

- be modest about their victories without mocking their opponents.

Chapter 2 – Local selection events

2.1. Rules for participation

a) participants must be Colas Group employees on permanent contracts (CDI) or long-term contracts (not including fixed-term contracts (CDD), internships, apprenticeships or temporary assignments);

b) participants must be adults; c) participants may take part in only one of the two Colas Team Cup sports; d) participants must have dated, signed and returned the acceptance document for

this Charter; which should mentioned any counter indication to sport practice in competition

e) for Mainland France and French Overseas Departments and Territories,

participants must provide evidence that they have no medical contraindications preventing them from competing in practice in one of the two Colas Team Cup sports, by providing a medical certificate issued within the last three months and valid for one year. For the other Colas companies outside of France, a Liability Waiver and Release form is to be signed.

f) participants must fill in the image rights authorization.

2.2. Online registration and selection period REGISTRATION To take part in the Colas Team Cup, the athlete or team must register at www.colasteamcup.com between March 1 and April 15, 2019 by creating a user account. On registration, athletes must select their discipline, then enter their identity information in order to create a user account. Before confirming the registration, the competition organizing bodies will check:

- that the athlete meets conditions a) to c) under Article 2.1 - that the athlete has filled in and uploaded the documents described in Article 2.1

d) to f) onto his/her user account Registration will be completed when the athlete receives a confirmation email from the competition organizing bodies at the email address entered by the athlete when creating his/her user account. Registration will be closed on April 15, 2019 at midnight, Paris time. QUALIFYING PERIOD Athletes can qualify for the international finals from April 16, 2019 to November 17, 2019. They will have this period for performing during their spare time and for taking part in the different local Colas Team Cup tournaments. No result will be taken into account before or after these dates.

2.3. Selection criteria The sports competitions are governed by a point rating system established according to sporting performance but also to the online presence of the athlete and of the teams on the Colas Team Cup website and on the Instagram social network. Accordingly:

- a number of points (maximum 850) correspond to each individual or collective sports performance;

- a number of points (maximum 150) correspond to each support action on the website and on Instagram.

Points will be totaled to rate the athletes. For further information see the "qualification criteria and point calculation" section at: www.colasteamcup.com. ENCOURAGING ATHLETES AT www.colasteamcup.com Employees and all persons outside the Colas Group can encourage an athlete or a team. Supporters merely have to visit the profile of the athlete or team they support at: www.colasteamcup.com and enter their contact details (last name, first name, valid email address), then click the "SUPPORT" button. Each supporter can only vote ten times and never twice for the same athlete or the same team. For each "support" received, the athlete or team will be awarded 1 point. The total number of points accumulated in this way cannot exceed 100. The computer system will automatically calculate the points and include them in the total. COMMUNICATING ON INSTAGRAM On registration, athletes or teams can enter their Instagram account in the profile. Each time the athlete or team publishes a photograph on Instagram related to the Colas Team Cup (training, tournament, memorable sporting event, etc.) and associates the hashtag #colasteamcup with it, he/she will be awarded 1 point. The total number of points accumulated in this way cannot exceed 100. The computer system will automatically calculate the points and include them in the total.

2.4. Sporting rules - Running Taking into account the spirit of the Colas Team Cup (see paragraph 1.5), the rules of the federations covering each of the two competition sports have been made flexible and are set out in annexes to this Charter and at www.colasteamcup.com. Athletes registered for this discipline must take part in one race (a competition providing a participation certificate confirming the distance run and time performance) over an official distance (10 km/half marathon/marathon) within the specified dates (July 8, 2017 - November 11, 2017). Local coordinators will propose official races organized in their geographical area to registered athletes. To take part in one of these two races, athletes can contact their local coordinator to find out the registration procedures (taking a numbered T-shirt, etc.).

Athletes must enter their performance on their user account (e.g. 2 hours 50 minutes on a half marathon) and upload confirmation of their performance (screenshot of the race results, performance certificate issued by the race organizer, etc.) The full point scoring system for running is set out in Annex 1 to the Charter. The set of rules for running is set out in Annex 2 to the Charter.

2.6. Selection of qualifying athletes The number and distribution of qualifying athletes in the international finals are set out below:

Qualifying athletes will be selected according to the score obtained using the selection criteria set out in detail in Article 2.3. In the event of a tie, the athlete or team with the best sporting performance score will be selected.

2.7. Announcement of the list of qualifying athletes The list of athletes and teams qualifying for the international finals will be announced as from November 29, 2019 on the Colas Team Cup website. All qualifying athletes will receive an email requesting them to confirm their commitment. If one of the athletes qualifying in running proves unable to maintain his/her participation in the international Colas Team Cup finals (particularly for medical reasons or due to his/her

situation as an employee), the available place will be reallocated to the athlete from the same geographical area with the best rating among the non-qualifying athletes. For team disciplines (five-a-side soccer), the team will be in charge of finding a replacement among players who competed but were not selected for the finals (contact the local coordinator). All selected athletes will then be contacted by the Colas Team organizing bodies to organize their travel to Paris for the international finals.

2.8. Earning points with digital communication Given the spirit of the Colas Team Cup, the rules below describe the possibilities and restrictions to win points associated with supporting athletes on the competition website and by communicating on Instagram. Supporting athletes: Athletes can be supported on the www.colasteamcup.com website from April 16, 2019 to November 17 at midnight French time 2019. See Article 2.3 selection criteria for how to earn points. Restrictions : - Any creation of false identity or email address of supporters will result in exclusion from the competition. - Any use of the email of a Group employee without his/her prior consent may result in exclusion from the competition. Instagram: Athletes can be supported from April 16, 2019 to November 17 at midnight French time 2019. See Article 2.3 selection criteria for how to earn points. All photos will be controlled and moderated by the organization before being validated. To win points, the athlete will only be able to make one post per day with the #colasteamcup during the qualifying period. Any additional posts will not be counted. The photos posted must be in direct correspondence with the Colas Team Cup. In the event a photo is not directly related to the competition, then an explanatory comment must be associated. Any photos not directly linked to the competiton will not be counted. Only one Instagram account per soccer team is allowed. Athletes will be able to refer to the Instagram user guide on the competition website to find out more about valid posts. Restrictions : In addition to the information above, all the following posted photos will not be counted: - Photos of construction sites or construction equipment without a comment in connection with the competition. - Photos of the private life without a comment in connection with the competition. - identical or almost identical pictures posted several times - Pictures from internet databases. - Pictures of a route from a fitness tracker, or an identical or almost identical soccer action.

Chapter 3 - International finals

3.1. Date

The international Colas Team Cup will take place in Paris on February 26 and 27, 2020.

3.2. Location The location will be revealed by 2019. Chapter 4 – Rights and intellectual property Colas is in charge of promoting the values of the Colas Team Cup, providing support to the local s and organizing this sports event. Colas holds all rights to the Colas Team Cup and to the related intellectual property, in particular French Colas Team Cup graphic trademark No 17/4343731, brand name No 17/4343732 and the slogan "Faster and stronger together" No 17/4343737. The Colas Team Cup is the exclusive property of Colas, which holds all rights and data relating to it, particularly, and without restriction, all rights relating to the organization, operation and marketing of the Colas Team Cup, entry of fixed images and film sequences of the Colas Team Cup for use by media, filing of audiovisual recordings of the Colas Team Cup and dissemination, transmission, retransmission, reproduction, presentation, distribution, provision or other public communication by any means in existence, currently or in the future, of works or signs containing audiovisual recordings of the Colas Team Cup. Colas will set the conditions for access and use of the data concerning the Colas Team Cup and the competitions and sports services that have taken place in the framework of this competition.

ANNEX 2 - RULES FOR RUNNING Athletes registered for this competition must achieve individual performance over one of the three official distances of their choice: 10 km / half-marathon / marathon within the time allowed (from April 16, 2019 to November 16, 2019). An official race is understood to mean a race labelled by the Athletics Federation of the country (measured distance and individual timekeeping). Athletes may take part in as much of the competition as they wish and only the best performance will be used for establishing the ranking. Secondly, athletes must: 1/ enter their performance on their user account (e.g. 2:50:00 for a half-marathon), 2/ upload evidence of their performance on the website (screenshot of the race results, performance certificate issued by the race organizer, etc.). A number of points linked with this performance will be allocated to them and will establish their ranking (See Annex 3 of the Charter). One ranking will be established for men and another ranking for women. The Colas Team Cup organizing bodies will be able to check the performances of the athletes registered for the Colas Team Cup with the official race organizers. In the event of inaccuracy or cheating, they will be permanently eliminated from the Colas Team Cup. Athletes undertake to comply with the rules of the race in which they take part. All athletes undertake to notify the organizing bodies of any change that may take place in their state of health since the date of the medical certificate that enabled them to confirm their registration. In the event of an accident linked to physical incapacity, particularly of cardiac origin, players undertake not to incur the liability of the Colas Team Cup organizing bodies. All athletes declare that they are familiar with this rule and the in-house rules of the sports center in which the events take place and undertake to accept and comply strictly with their terms, failing which they will incur the penalties stipulated by the aforementioned rules.
