Los Mexicas adoraron a cierta especie de agave llamado maguey, al cual
consideraban la representación de Mayahuel, la Diosa de la embriaguez, quien
alimentaba a sus 400 hijos con el pulque que emanaba de sus numerosos pechos.
De la fermentación del corazón del maguey se obtenía una bebida sagrada que sólo
podía ser degustada en ocasiones especiales por los Tlatoanis, sacerdotes o
ancianos. Los españoles no tardaron en aprovechar este hallazgo y a pesar de la
prohibición de fabricar vinos en tierra americana, el “vino de mezcal de tequila”
adquirió gran fama entre los placeres clandestinos. Tras la consumación de la
independencia de México en 1821, el tequila acaparó el mercado que dejaron los
vinos españoles triunfante, asumió el trono como bebida nacional. El tequila acaparó
los reflectores internacionales durante la época de oro del cine mexicano, entre
1930 y 1940. Era una botella de tequila el compañero imprescindible de los grandes
actores mexicanos en sus aventuras. En 2006 Tequila, Jalisco, fue declarado
patrimonio de la humanidad por la UNESCO y es punto de partida de una historia
con mucho sabor a México.
Impulsora Rombo es una tequilera dedicada a la producción de tequila para marcas

2. Determinación del producto El producto seleccionado para exportar es el tequila, este producto es considerado
por el mundo un símbolo representativo de México. El tequila es el resultado de la
destilación de azúcares de jugos obtenidos del Agave tequilana Weber azul, es una
planta que se distingue por sus pencas largas, angostas y rígidas de color azul.
Dicha planta crece en 182 municipios de cinco estados de la República mexicana,
estos son Jalisco, Michoacán, Nayarit, Guanajuato y Tamaulipas.
La madurez del agave es un largo proceso que tarda de ocho a diez años después
de plantado, luego se lleva a cabo la cosecha y se realiza la jima, que es la actividad
de cortar las pencas para extraer la piña del agave. Una vez terminada dicha
actividad las piñas son recolectadas y llevadas a un horno de mampostería el cual
tiene una duración de 48 horas o también los autoclaves que duran 12 duras.
Después del proceso de cocción son trituradas en un molino con una gran piedra
circular. Los mostos y el bagazo son recuperados para elaborar el tequila 100%
agave,mientras los que no poseen esta característica son complementados con
49% de azúcares. La fermentación puede ser natural o empleando levaduras y se
efectúa en difusores donde se separan los azúcares y el bagazo.
El mosto obtenido se coloca en modernos alambiques de destilación, donde se
separan los residuos para después realizar una segunda destilación para desechar
el exceso de agua, incrementando el porcentaje de alcohol. El tequila obtenido se
coloca para su maduración en barricas de roble blanco o encino, donde puede ser
abocado con color caramelo, extracto de roble, glicerina o jarabe de azúcar. Este
proceso permite la existencia de bebidas con diferentes aromas y sabores.
Es recomendable que se apliquen los métodos artesanales tradicionales de
producción de tequila porque de esta manera se tendrán mejores resultados en el
sabor y olor de la bebida. Los destiladores y cocineros preservan cuidadosamente
los secretos de la producción pues los han adquirido de generación en generación.
El tequila se divide en dos categorías: tequila 100% de agave y tequila; estas
categorías se dividen en cinco tipos: blanco, joven u oro, reposado, añejo y extra
añejo.
Rudo y Técnico se encuentra en la categoría de tequila 100% de agave, son dos
contrincantes que tienen tres tipos de tequila diferentes cada uno.
Rudo cuenta con:
- Rudo blanco: 100% agave azul tequilana Weber, brinda un balance entre sus
notas frutales y el dulce del agave cocido. Tiene una textura ligeramente
picante y cálida.
- Rudo reposado: 100% agave azul tequilana Weber, brinda un tono dulce
picante seco afrutado. Tiene una textura seca y ligeramente picante.
- Rudo añejo: 100% agave azul tequilana Weber, se acentúan las notas
astigrentres de la maderada que se percibe en la copa. Tiene una textura
tersa ligeramente astringente y cálida.
Técnico cuenta con:
- Técnico blanco: 100% agave azul tequilana Weber, brinda un balance entre
sus notas frutales y el agave cocido. Tiene una textura suave.
- Técnico reposado: 100% agave azul tequilana Weber, brinda un tono dulce
seco afrutado. Tiene una textura seca y suave.
- Técnico añejo: 100% agave azul tequilana Weber, acentúa las notas
agridulces amaderadas que se perciben en la copa. Tiene una textura suave
y cálida.

Un dato que puede ser beneficioso para el tequila que vamos a exportar
es que de acuerdo a los hábitos de compra de los americanos, el 67% de
los consumidores de bebidas están interesados en probar bebidas
alcohólicas de otros países.

Actualmente existen bastantes marcas de tequila que se venden en Estados Unidos,
esto significa que nuestro mercado cuenta una gran variedad de opciones de tequila
al igual que otro tipo de bebidas alcohólicas.

concepto. El concepto de Rudo y Técnico llama la atención por sus colores
mexicanos y su divertida presentación arraigada a las raíces de la cultura mexicana

Estados Unidos es el tercer país más poblado del mundo y el cuarto más grande en
superficie. Se cerró 2016 con una población de 323,127,513 habitantes. Está
compuesto por 50 estados cuya capital es Washington D.C. El país es uno de los
más avanzados en los campos de la economía, la ciencia, la tecnología de
información, la medicina, la política, y el ocio.
Su economía es considerada como las más grande, poderosa y diversa del mundo
por su extensión geográfica y su desarrollo durante el siglo XIX. Este país se ha
visto beneficiado de la inmigración masiva, las innovaciones tecnológicas y
estrategias comerciales, la explotación de recursos naturales y del comercio
internacional. Estados Unidos es el mayor importador de bienes a nivel mundial. Su
principal socio comercial es Canadá con el que se tiene un acuerdo de libre
comercio, el TLCAN, junto con México. Los servicios, especialmente las finanzas, el
ocio y el turismo, son la mayor fuente de empleo.
La sociedad de los Estados Unidos, es una sociedad urbana, con más del 75 % de
la población viviendo en ciudades. Las poblaciones de minoría étnica de mayor
representación se encuentran en este orden: afro-americanos el 13 % seguidos por
los hispanos, 12 %. Los asiáticos suponen aproximadamente el 4 % de la población.
Entre los 55 millones de hispanos, que forman el 17% de la población total del país,
el grupo predominante es el de los mexicanos. Con 35 millones de personas, los
que trazan su origen nacional a México conforman el 63% de toda la comunidad
hispana.

De acuerdo a una noticia publicada en el 2015, el Consejo de Bebidas Destiladas de
Estados Unidos (DISCUS) revela que el consumo de tequila en Estados Unidos ha
estado aumentando de manera significativa en los últimos 12 años. El tequila se ha
convertido en una bebida muy popular y las importaciones han aumentado 92%
desde el 2002 con una un crecimiento anual del 5.6% en promedio.
En el año 2015 se vendieron 13.8 millones de cajas de tequila con nueve botella de
litro en promedio, lo que hizo que se superó a México en cuanto a consumo de
tequila.
De acuerdo a la CNIT, se reportó un crecimiento del 33% en el valor de las
exportaciones tequileras hacia Estados Unidos. Mientras que por categoría, el
mayor crecimiento se dio en el tequila 100% agave lo que significa que cada vez se
consume tequila de mayor valor agregado en ese destino.
El aumento en el consumo de tequila en el mercado estadounidense ha estado
creando poco a poco un cambio importante en cuanto a la apreciación e interés de
los estadounidenses por el tequila.
De acuerdo al DISCUS, las ventas de tequila son las que han tenido el mayor
crecimiento entre los principales licores de Estados Unidos.
El consumo de esta bebida no solo está asociado a la fiesta de los jóvenes, sino que
también los consumidores la buscan como una bebida de calidad la cual encuentran
en los mejores restaurantes. Esta también ha pasado de ser una bebida de sabor
áspero a un licor de sabor sofisticado, siendo uno de los ingredientes para cócteles
y diferentes mezclas.
Es importante mencionar que diciembre es uno de los meses en el que los
estadounidenses consumen más tequila y de la misma manera ocurre en México.
“Para la cadena productiva (del tequila), diciembre, en el caso particular de México
es la época más importante del año, sin duda lo que es las festividades de
diciembre, año nuevo, es donde más repunta y hoy donde vemos que la mayor
oferta y la actividad de la industria ha puesto todo para seguir ganando paladares”

y precio.
A finales del 2016, se anunció que el precio del tequila aumentaría este año debido
a un incremento en el precio del agave. Se dice que en febrero de este año, el
tequila aumentó un 10 - 12 por ciento, pues el alza del agave debe ser absorbido
por los industriales. El Consejo Regulador del Tequila (CRT) establece que a
mediados de este año el precio del tequila se puede estabilizar con su trabajo de
planeación y que los agricultores y productores sigan teniendo un negocio rentable.
Tomando en consideración que esta es una tequilera pequeña, el precio del
producto no se basaría en el precio de los competidores, sino que éste será con
base en los costos de producción y de la ganancia requerida para continuar
produciendo el tequila y las botellas. Esto con el fin de penetrar el mercado y dar a
conocer el producto. Posteriormente, el precio del tequila se puede ajustar de
acuerdo a los precios de las demás marcas de tequila.
Rudo y Técnico serían comercializados en el estado de Georgia debido a tres
importantes razones. Actualmente, en Georgia hay un “boom” del tequila en donde
se han abierto y se están abriendo bares dedicados específicamente a la coctelería
con tequila, principalmente en Atlanta. Este estado tiene una gran cantidad de
habitantes mexicanos los cuales son parte de nuestro mercado meta. Se considera
que la ubicación geográfica es buena tomando en cuenta que el producto se puede
dar a conocer poco a poco en los alrededores de Georgia y posteriormente expandir
la zona en la que se comercializa.
Utiliza estadísticas arancelarias de exportación de México y estadísticas
de importación de posibles mercados de interés de productos mexicanos.
Preferencias arancelarias, en el marco de los tratados y acuerdos
internacionales de comercio que tiene suscritos México.
Tratado de Libre Comercio de América del Norte (TLCAN)
El objetivo fundamental del TLCAN es liberalizar de manera gradual y coordinada el
comercio de bienes y servicios, así como los movimientos de capital, para formar un
área de libre comercio entre Canadá, Estados Unidos y México con los siguientes
objetivos:
• Eliminar las barreras al comercio.
•Promover las condiciones para una competencia justa.
• Incrementar las oportunidades de inversión.
• Proteger adecuadamente los derechos de propiedad intelectual.
• Establecer procedimientos eficaces para la aplicación del Tratado y solucionar
controversias.
• Fomentar la cooperación. Actualmente, las exportaciones de productos originarios
de México están libres de arancel con Canadá y Estados Unidos.

Situación económica, política, social y geográfica, así como gustos y
preferencias de la población del mercado meta.
Economía: Según un estudio de “El ABC Financiero” las personas de clase media
alta en lo estados unidos ganan aproximadamente $ 250.000 al año, alrededor de
cinco veces el salario promedio de los EEUU de $ 52.250 para el mismo período de
tiempo. Los hogares de clase media alta ganan entre 67% hasta 200% de los
ingresos medios de un estado, generalmente las personas de clase media alta
cuentan con ahorros e inversiones para educación y seguros de gastos médicos.
Según un estudio realizado por MPI (Migration Policy Institute) Los residentes
mexicanos en estados unidos tienen ingresos mucho más bajos en comparación
con el total de las poblaciones extranjeras y nativas. En 2014, la mediana del
ingreso familiar entre los mexicanos fue de $ 37,390, comparado con $ 49,487 y $
54,565 para las poblaciones inmigrantes y nativas, respectivamente.
Política: Según un estudios de la BBC la mayor parte de la clase media alta en los
Estados Unidos se sienten cómodos con su nuevo presidente Donald Trump, pues
la mayoría de las personas pertenecientes a esta clase social son blancos y
anglosajones y están de acuerdo con los discursos de Trump en los que echa la
culpa de todos los problemas de desempleo y de inseguridad a los chinos, a los
mexicanos y a los musulmanes, es un discurso muy sencillo y que llega muy bien a
esa clase que se ha empobrecido en los últimos años y que se refleja en un 40%
que lo sigue apoyando.
Por otro lados según un informe del “New York Times” nuestro segundo mercado
meta se encuentra asustado con las amenazas del nuevo presidente porque Donald
Trump ya que la relación entre México y Estados Unidos está en su peor punto en
años, el gobierno mexicano advirtió a sus connacionales de una “nueva realidad”.
Urgió a la “comunidad mexicana entera a tomar precauciones” y estar en contacto
con el consulado más cercano.
Social: Los estadounidenses de entre 40 y 60 años de edad con gusto por el tequila
y las artesanías gustan de ver mucha televisión e incluso los contenidos de los
programas se convierten en temas de conversación entre amigos y familiares. Son
comunes programas de deportes, películas, series de comedias o “Sitcoms”,
novelas o “Soap Operas”. El Jazz, Gospel, Blues, Swing, Rock and Roll, Country,
Clásica, electrónica, New Age son estilos de música que escucha nuestro mercado
meta. La literatura, el teatro las artes plásticas también es un gran pasatiempo de
esta clase social.
Los mexicanos residentes en los Estados Unidos han adoptado costumbres y
tradiciones americanas, pero son más bien los estadounidenses que han adoptado
la cultura mexicana, es por esto que ya existen muchos restaurantes mexicanos en
estados unidos y tanto la comida y la bebida son populares en E.U.A.
Geografía: El estado de Georgia será el estado donde se buscará llegar a nuestros
mercados meta donde el rango de ingresos para ser considerado de clase
media-alta va desde $31,886 dólares a $95,658 y la población mexicana en este
estado es de aproximadamente 7.4% de la población total.
Gustos y preferencias de mercado meta: Según un estudio de la CNN las personas
de clase media alta gustan de tomar el tequila de la “forma mexicana” es decir con
limón y sal, y aunque los estadounidenses han experimentado ingeniosamente con
otros métodos, nunca han descubierto uno que cubra el sabor ligeramente amargo
del tequila tan eficazmente. Según un estudio de “XPAT NATION” los mexicanos en
estados unidos no beben tequila con limón y sal a menos que la marca sea de baja
calidad. La verdadera manera de beber tequila es por sí misma, con un poco de
jugo de tomate, granadina, sangrita (un zumo hecho de limas y naranjas), y con
salsa picante o chile en polvo.

Bureau)

-El importador debe asegurar que el productor de la bebida alcohólica esté
registrado con la Administración de Alimentos y Drogas de los Estados Unidos
-Las importaciones deben ser originarias y procedentes de México y contar con un
certificado de autenticidad.

Opciones de transporte
El tequila Rudo y Técnico es transportado vía terrestre por carretera. Es un
transporte poco complejo y de fácil acceso.
Se decidió debido a que las características más destacadas del transporte por
carretera son su simplicidad, versatilidad, flexibilidad pues permite el transporte de
prácticamente cualquier tipo de mercadería, desde el lugar de producción o
almacenaje, hasta el punto de consumo, de forma rápida y relativamente
económica. Se puede disponer de muchos tipos de vehículos, que se adecuan a las
características de la mercadería a transportar y al viaje a realizar.
4.- Documentos Y Requisitos Generales Para
Exportar: Restricciones arancelarias a la exportación:
1. Cuando se exporte una cantidad no mayor a 12 litros y el tequila ostente la
contraseña oficial que identifique su cumplimiento, no se anexa al pedimento
el original del certificado que compruebe el cumplimiento de la NOM
2. NOM-006-SCFI-2012(El exportador deberá anexar al pedimento de
exportación el original del documento o certificado que compruebe el
cumplimiento de la NOM, en términos del Numeral 7del Anexo. Sin embargo,
cuando se exporte una cantidad no mayor a 12 litros y el tequila ostente la
contraseña oficial, no se tendrá que anexar al pedimento el certificado que
compruebe el cumplimiento de la NOM).

5. Comercialización Internacional y Sustentabilidad: Todo tequila que se desee vender y sobre todo exportar debe estar certificado por
el Consejo Regulador del Tequila, dicha certificación consta de:
- Agave: registro obligatorio en el que se describen las características
(especie), ubicación, estado fitosanitario, inventarios, ingresos, consumos y
edad.
- Formulación y fermentación: uso exclusivo de azúcares del agave o
participación mínima del 51% de azúcares de agave.
- Destilación: mosto destilado, tequila producido, inventarios de tequila por
categoría y por clases, eficiencia por operación unitaria y total del proceso de
producción, control de salidas de tequila para exportar.
- Control de maduración: por categoría, sellado y control de tiempo de
maduración.
- Control de tequila envasado: inventarios de tequila por marca, categoría y
clase, contenido alcohólico, material de los envases, información comercial y
salidas de tequila envasado, nacional y exportación.
- Control de calidad: permite la trazabilldad de los productos, actividades de
prueba a través de laboratorios de pruebas acreditados.
- Buenas prácticas de fabricación: (NOM-251-SSA1) higiene y sanidad del
personal operativo, las instalaciones físicas, materias primas, materiales en
proceso así como el producto terminado.
- Existencia de laboratorio de control en procesos: métodos de prueba
aprobados, personal calificado, instalaciones adecuadas, control de registros
y buenas prácticas de manufactura.
Impulsora Rombo S.A de C.V tiene dos certificaciones, estas son: Certificación para
exportar Tequila y Certificación de envasado de origen que son otorgadas por el
Consejo Regulador de tequila. Debido al creciente impacto de las actividades
humanas y a las demandas por proteger el medio ambiente, la sustentabilidad es el
objetivo prioritario para las empresas y autoridades de todo el mundo. El Consejo
Regulador de tequila se encarga de verificar las emisiones de efecto invernadero
que se producen en los inventarios de las empresas al momento de fabricar el
tequila.
El Inventario Nacional de Emisiones de Gases y Compuestos de Efecto Invernadero
contiene la estimación de las emisiones de gases y compuestos de efecto
invernadero que se presentan en México.
La huella de carbono promedio de la cadena agave-tequila para el año base 2014
fue de 3kg de CO2eq por litro de tequila, generando una emisión total de 700 mil
toneladas de CO2eq en este año. El 44% de estas emisiones de gases de efecto
invernadero son emitidas directamente en la cadena agave-tequila y el 56%
corresponden a la producción de insumos y a la distribución y transporte del
producto.
La mayor contribución a las emisiones se debe al consumo de combustibles de
origen fósil para la generación de vapor en la producción del tequila, seguidas por
las emisiones indirectas de por la producción de la botella de vidrio y por el
transporte y distribución del tequila al consumidor.
Con base a estos resultados el Consejo Regulador del tequila estableció metas de
mejora ambiental de la industria, midiendo los resultados que generen
sustentabilidad. Las acciones que se llevan a cabo para obtener resultados
favorables son:
- Sustitución de combustóleo y diesel por gas natural.
- Aislamiento de equipos y tuberías.
- Aprovechamiento de biogás obtenido del tratamiento de aguas residuales.
- Optimización del uso de agua.
- Instalación de calderas de biomasa más eficientes y limpias.
- Rediseño de envases y empaques.
- Eliminación de fugas de vapor y energía.
- Sustitución de motores e iluminación eficiente.
- Incrementar el uso de material reciclado en el empaque.
La participación que tiene Rudo y Técnico es incrementar el uso del material
reciclado. Esto es posible gracias a la colaboración que se tiene con Vitro, una
compañía encargada de la fabricación de los envases de las botellas de tequila.
Esta empresa cuenta con un modelo sustentable para que los envases estén más
aligerados, logrando reducir el consumo de vidrio fundido en más de 1,100
toneladas. Otra acción que ha tenido resultados positivos es por el apoyo que se ha
tenido a las actividades de posconsumo que el Consejo Regulador del Tequila
promueve para salvaguardar la denominación de origen del tequila. Esta actividad
es diferenciada con el Distintivo T, tuvo un total de 7,385 kilogramos de vidrio en su
primer año y ha tenido un crecimiento importante pues en 2010 se triplicó la
cantidad teniendo un total de 25,418 kilogramos.

Azul para la elaboración del tequila.
La maduración completa de la planta tarda entre 7 y 9 años promedio.
El tequila es producido en las mismas tierras del rancho, Acatic, Jalisco, donde se
destila y se embotella para su exportación.

The elaboration of Rudo and Tecnico tequilas begins with cultivation of blue agaves.
Blue agaves, used in production of the tequilas, are grown in the Highlands of
Jalisco, the area known as "Los Altos". Thanks to the high altitudes of Los Altos
above sea level, these agave plants take much more time to grow to full maturity
than the plants grown in the plains, and since it takes more time these plants
consolidate more agave flavors, which they later impart to the final tequila. In
addition, blue agave plants, that are grown in the Highlands, often have more sweet
fruit flavor and more pronounced vegan notes, which enrich the tequila's taste.
Elaboration of tequila is a seven-step process:
1. Harvesting of Blue Agave hearts
2. Cooking
3. Shredding and extracting of juices
4. Fermenting
5. Distilling
6. Aging (Reposado and Anejo types) of tequila in the barrels
7. Bottling
The results of this long and labor-intensive process depend on a distillery's closely
guarded "know-how" and how closely the producer follows the traditions of
tequila-making.
Planting, tending and harvesting the agave plant remains a manual effort,
unchanged by modern technologies, and stretching back hundreds of years. Agave
plants take about 7 to 9 years to be ready for use. At the peak of its maturity, the
blue agave consolidates the maximum amount of flavorful sugars. The men who
harvest it, the "jimadores", possess generations of knowledge about the plants. The
jimadores cut the stems off with the "coa" knife (similar to a machete, but with the
rounded point), and harvest the "heart" of the agave, which looks like a pineapple
(that is why we call it "piña", which means pineapple). An agave "piña" can weigh up
to180 pounds (normally, it weights around 100 to 135 pounds). These hearts of the
agave are used to produce tequila.
The elaboration process continues with the cooking and grinding of the agave
hearts. The cooking can be performed either in the traditional masonry ovens or in
stainless steel autoclaves. The cooking period is longer in masonry ovens (48 hours)
than in autoclaves (12 hours). The purpose of this stage is to convert agave nectar
into sugars which are easy to ferment. While autoclaves are cheaper and faster, they
fail to properly convert nectar into flavorful sugars which causes the tequila to have
the harsh taste. We slow-bake our blue agaves according to the traditional method,
in stone ovens called “hornos”. This method ensures that the sugars are properly
cooked and not caramelized. Once agaves are cooked to perfection, they are
shredded and juices are extracted.
The juice is used from the first pressing of the baked agaves only, and then slowly
ferment the "mosto", a process that requires approximately 72-96 hours, to transform
the sugars into alcohol. In an effort to reduce costs and speed up production, many
other producers use commercial yeast to jump-start fermentation. No such short
cuts, are practiced to make Rudo and Tecnico tequilas.
The fermented product is double distilled to produce clear tequila called Blanco.
While Blanco does not require aging, Reposado and Anejo must mature in casks
before consumption. As with other spirits, that are aged in casks, tequila takes on the
flavors of the wood, while the harshness of the alcohol mellows. Rudo and Tecnico
tequila is aged in white oak barrels, previously used for bourbon production.
Reposado takes 4 months to mature at minimum and Anejo -18 months.
The closer a distillery follows traditional artisanal methods of tequila production, the
better is the final result - taste and flavor of the beverage. The distillers, or “cooks”
carefully preserve the secrets of production, which are passed from generation to
generation.

Envasado y etiquetado: Se lleva a cabo una filtración profunda para remover partículas en suspensión y
eliminar cualquier posible turbidez; al mismo tiempo se lavan las botellas con tequila
del mismo tipo que se va a envasar, entonces el tequila pasa a la llenadora.
Una vez que se han llenado las botellas, se realiza la primera inspección visual para
identificar cualquier partícula indeseable en la botella.
Posterior a esto, se coloca la tapa artesanal, en la que hay una máscara tallada a
mano y luego se lotifica la botella. Después, las botellas llenas pasan a mesas de
trabajo donde se realiza una segunda revisión visual y se lleva a cabo el etiquetado
a mano.

CONTRATO DE COMPRAVENTA INTERNACIONAL
IMPORTATION AGREEMENT
This Agreement is made this ___ day of October 2008, by and between
IMPULSORA ROMBO, S.A. DE C.V., a Mexican company having its principal place
of business at AV. PASEO DE LA REFORMA, No. 4, LOC H., COL. ARBOLEDAS
, QUERETARO, QRO, Mexico 76140 (hereinafter ʺSupplier”) and DOUBLE EAGLE
IMPORTS LTD, a Georgia corporation, having its principal place of business at
13010 Morris Rd., Building 1, Suite 600, Alpharetta, Georgia, United States
(hereinafter ʺ Importerʺ).
In consideration of the mutual promises and covenants herein contained, Supplier
and Importer agree as follows:
1. APPOINTMENT
Supplier hereby grants to Importer the exclusive rights to import, sell, distribute and
market the distilled spirits produced and/or marketed under the brand names
Arrogante listed on Exhibit A (hereinafter the “Products”) in the United States of
America, the District of Colombia, all possessions of the United States including
Puerto Rico, and the Caribbean Islands (hereinafter collectively the ʺTerritoryʺ).
Importer’s Territory also includes the sales to cruise lines and airlines to the extent
their respective points of origin are within the Territory, and duty free areas.
2. TERM OF AGREEMENT
This Agreement shall be for an initial term of five (5) years, commencing on October
15st 2008. This Agreement will automatically continue after the initial term for
successive terms of five (5) years each unless it is mutually agreed by both Parties
in writing not to continue with the contract.
3. TERMS OF SALE
a. The agreed prices for the Products shall be stated CIP (Carriage and
Insurance Paid to).. and are set forth on Exhibit A, which exhibit is incorporated and
made part of this Agreement. The initial price for the Products as set forth in Exhibit
A shall not be adjusted for twelve (12) months from the date of execution of the
Agreement. Price shall be set in US. The Price includes the prices of the bottle,
label, enclosure and shipping carton. Prices shall only be adjusted upon written
agreement of the parties. In the event Supplier wishes to increase the price for the
products, Supplier must provide documentation demonstrating increases in the
prices of raw materials necessary to the formulation of the Products [or costs of
manufacturing the Products.] In no event shall Supplier increase prices without
legitimate business justification. Supplier must provide thirty (30) days notice of any
increase in price for the Products. Supplier also will reduce prices to reflect reduced
costs of production whenever reductions occur in costs of production components or
through efficiencies achieved with larger volume production runs.
b. Supplier guarantees to Importer that it shall use all reasonable efforts to
cause to be produced, bottled, labeled and packaged on a timely basis, each
purchase order submitted by Importer and Importer agrees that it shall purchase
each such contract quantity set forth on each purchase order.
c. The terms of payment shall be as follows. Importer shall pay 100% of the
invoiced purchase price of the order by a Letter of Credit made payable to Supplier’s
bank account when product is received from Supplier into Importer’s bonded
warehouse; Supplier must fulfill orders within thirty (30) days after an order is
submitted. All bank charges related to the LOC will be borne by Importer. Importer
will pay for the invoiced order by a Documentary Direct Pay Letter of Credit. An order
is submitted when it is transmitted by facsimile, electronic mail or overnight carrier to
Supplier. Supplier will accept the order by issuing an Order Confirmation to
Importer. An order is fulfilled when Supplier has delivered Product to point of delivery
with all necessary documentation for exportation of product from country of origin
and for importation of product into the United States, and the product has been
inspected at the point of delivery and has been determined to be in good condition
for resale. Supplier shall be entitled not to ship any order to Importer , when such
order payment has not be duly guaranteed with the proper Letter of Credit, on terms
of this paragraph.
d. All deliveries of Product and title and risk of loss shall pass from Supplier
to Importer upon delivery per CIP. Supplier represents and warrants that title shall
transfer free and clear of all liens, charges, liabilities and encumbrances, including
any applicable customs fees, duties or taxes assessed at point of delivery by country
of origin. Importer shall be responsible for any applicable customs fees, duties or
taxes assessed by the United States government and any states thereof.
4. RETURNS AND QUALITY RECLAMATIONS
a. Any Product delivered to Importer or its designees, which is not
merchantable due to quality deficiencies, packaging problems or to errors committed
by Supplier will be consolidated by Importer and be retained until inspected by
Supplier, or for a period of three (3) months counted from the date that the Importer
notify this situation to Supplier, whichever occurs first. Unless such Product has
been rendered non-merchantable by the established improper handling or other
negligent acts of Importer or its customers, Supplier shall issue Importer a credit for
the value of the defective Product and Product losses caused by Supplier’s
responsability. Notice of the existence of any claimed non-merchantable Product
shall be given to Supplier in writing within the following 15 fifteen calendar days upon
the Products reception by the Importer. The credit to Importer will be issued within
21 business days after Supplier receives such written Notice.
5. PERFORMANCE STANDARDS
a. As to Importer:
1. That it will not distribute or sell the Products outside of the Territory or
within the Territory for resale outside of the Territory;
2. That it will refer to Supplier any and all orders and inquiries for such
Products that it may receive for shipment to Customers located outside the Territory:
3. That it will hold Supplier harmless from any and all fines, levies, damages,
and costs of judgments that Supplier may be required to pay as a result of Importer’s
failure to comply with applicable laws in the Territory including, but not limited to, the
payment of any taxes and the maintenance of appropriate licenses;
4. That it will not alter or permit any alterations to the Products and that it will
hold Supplier harmless from any accident, damage, loss or injury to any person or
property or any other liability caused by any Products altered by Importer or which
Importer knowingly permitted to be altered;
5. That it shall bear all costs and expenses of selling, promoting, advertising,
and distributing the Products in the Territory except for those costs which Supplier
shall incur as a part of marketing support and which are defined in Exhibit C which is
incorporated as part of this Agreement; and
6. That it shall obtain formula and label approvals for the Products with TTB
and with the state governments in the Territory where the Product is being sold.
b. As to Supplier:
1. That it will not ship or sell the Products to Customers in the Territory,
except upon the order or by the direction of Importer;
2. That it will refer to Importer any and all orders and inquiries for such
Products that it may receive for shipment to Customers located within the Territory;
3. That it agrees to cease doing business with a Customer who is found
violating this exclusive agreement by selling the Products to customers in Importer’s
territory;
4. That the Products shall be distilled, blended, filtered, bottled and labelled
utilizing such production, quality control or other processes, procedures or
instructions as are consistent with high industry standards and in full conformity with
the Mexican Official Standard for the Tequila Nr. NOM-006-SCFI-2005; that at the
time of delivery to Importer or its designee(s), the Products shall be free of
contaminants, merchantable, fit for intended use and shall not be unlawfully
adulterated or misbranded within the meaning of the Federal Food, Drug and
Cosmetic Act, of the United States, or comparable Mexican law; that at time of
delivery to Importer or its designee(s), the Products shall be labelled and packaged
in conformity with all applicable laws and regulations of the destination market and
shall contain no misstatements as to class, origin, content or alcohol level (alcohol by
volume) or otherwise fail to state any information, the absence of which would make
the label misleading or inconsistent with the Products’ content or otherwise in conflict
with law or regulation and [that at the time of delivery to Importer or its designee(s),
the Products shall conform in all material respects to samples previously supplied to
and accepted by Importer [and to Product specifications as listed in Exhibit D.];
5. That the Products shall be produced pursuant to a formula that has been
approved by the TTB or then current agency responsible for setting standards for
distilled spirits.
6. That it will grant Importer the discounts for Products or Services which are
discountable and such discounts are set out in the applicable Price List which is
incorporated in this Agreement as Exhibits A and C.
6. EXCLUSIVITY
a. During the term of this Agreement, the Importer shall have the exclusive
right to import Supplier’s Products into the Territory and such exclusive right is valid
from the date of this Agreement pursuant to clause 2 above.
b. Importer shall be purchasing the Product from Supplier according to the
target sales numbers specified in Exhibit D.
In the event that the Importer shall no purchase the Supplier the minimum quantities
of the Product in the preceding 12 twelve months, the Supplier at any time and by its
sole discretion could:
i) Immediately terminate this agreement by a simple written notice
given to the Importer; or
ii) Without any liability, to appoint any third parties as importer,
distributor, agent, etcetera, of the Products in the Territory;
iii) Agreed with Importer, but at Supplier sole discretion and choice,
continue this Agreement.
7. TRADEMARKS
a. Supplier hereby grants to Importer for the term of this Agreement a right to
use the trademarks, trade names, and domain names (“Supplier Trademarks”) as set
forth in Exhibit B solely in the Territory and solely in connection with and for the
purpose of promoting, advertising, and selling the Products pursuant to the terms of
this Agreement. Nothing contained herein shall constitute an assignment of the
Supplier Trademarks, or grant to Importer any right, title, or interest therein, except
the right to use the Supplier Trademarks as set forth herein.
b. Importer further agrees (i) not to remove the Supplier Trademarks from
the Products; (ii) not to alter the Supplier Trademarks in any way; (iii) not to use any
trademark, trade name, or designation of origin other than the Supplier Trademarks
and Importer’s trade name in connection with the promotion, advertising, or sale of
the Products; (iv) not to make any label or packaging changes (other than the
addition of a strip label indicating the identity of the importer) without the prior, written
consent of Supplier and (v) not to use the Supplier Trademarks in connection with
any products, goods, business or services other than the Products.
c. Supplier represents and warrants that, to the best of its knowledge, it is
the sole and exclusive owner of the Supplier Trademarks listed on Exhibit B and has
not assigned or licensed in the Territory any right or interest therein; there are no
claims or demands in the Territory pertaining to such Supplier Trademarks and no
proceeding has been instituted or is pending or threatened against it which would
challenge the right of Supplier in respect thereof; and Supplier has not been charged
with infringement or violation of any adversely-held trademark in connection with the
sale of the Products and is not aware of any claim of or liability for any such
infringement or violation.
d. In the event that Importer becomes aware of any infringement of the
Supplier Trademarks, or any claim that the Supplier Trademarks infringe the
proprietary rights of a third party, Importer shall immediately notify Supplier thereof in
writing. Should Supplier in its sole discretion, decide to take legal action in respect
of the same, such action shall be at the sole cost and for the sole benefit (including
any recovery of damages) of Supplier. Upon the request of Supplier, Importer shall
cooperate with Supplier in connection with any such action but at no additional
expense to Importer. Importer shall not undertake any action against any purported
infringement of the Supplier Trademarks or defend against any claim that the
Supplier Trademarks infringe the rights of another, without the prior written consent
of Supplier.
e. Supplier will cooperate with Importer to the fullest extent possible by
supplying all information and/or documentation necessary to Importer for purposes of
recording Supplier’s U.S. Registered Trademarks with the U.S. Customs Office for
purposes of protecting both parties to this Agreement against the importation of
counterfeit or confusingly similar trademarks or Products in violation of this
Agreement.
8. REPRESENTATIONS AND WARRANTIES
a. Supplier represents and warrants that:
1. All Products sold or shipped under this Agreement will be of good quality,
suitable for beverage consumption, properly packaged by Supplier, in conformity
with the applicable laws, regulations, and requirements in force in the Territory.
Supplier will hold Importer harmless from any and all fines, levies, damages, and
costs of judgments that Importer may be required to pay as a result of Supplier’s
failure to comply with the provisions of this Section. Notwithstanding the foregoing,
Supplier shall not be liable for any damage and liability arising from product liability,
trademark infringement, product recall, or any other claims or events arising from or
related to defects in or damages to the Products caused solely by the actions of
Importer, its customers or its carriers occurring after the risk of loss passes from
Supplier to Importer, including, without limitation, defects or damages arising from
inappropriate handling, inappropriate ocean freight, inland handling, inland freight,
storage conditions, or excessive length of storage.
2. It has the authority to enter into and carry out its obligations under this
Agreement, and all persons executing this Agreement on behalf of Supplier have all
requisite authority to enter into, execute and deliver this Agreement on behalf of
Supplier.
3. The execution of this Agreement and the consummation of the
transactions contemplated by this Agreement will not act as a breach of any
agreement or understanding to which Supplier is a party.
4. It has the right to designate and appoint Importer as the exclusive
importer, distributor, seller and marketer of the Products in the Territory.
b. Importer represents and warrants that:
1. It has the authority to enter into and carry out its obligations under this
Agreement, and all persons executing this Agreement on behalf of Importer have all
requisite authority to enter into, execute and deliver this Agreement on behalf of
Importer.
2. The execution of this Agreement and the consummation of the
transactions contemplated by this Agreement will not act as a breach of any
agreement or understanding to which Importer is a party.
3. Importer holds or will hold directly or through contractual arrangements in
force and effect, all federal, state and local licenses or permits that are necessary to
conduct its business as an importer of distilled spirits in the Territory and to engage
in the transactions contemplated by this Agreement.
9. TERMINATION
a. Either party may terminate this Agreement, by written notice to the other
party, effective sixty (60) days after delivery for any of the following reasons:
1. Insolvency of the other party; the filing of a voluntary petition in
bankruptcy, reorganization or a similar proceeding by the other party; the filing of an
involuntary petition in bankruptcy provided such petition is not vacated within thirty
(30) days from the date of filing; the appointment of a receiver or trustee for all or a
substantial part of the other party’s property, provided such appointment is not
vacated within thirty (30) days from the date of such appointment; or execution by
the other party of an assignment for the benefit of creditors; or
2. The suspension of business, liquidation, dissolution, or termination of the
existence of the other party; the condemnation, attachment, or appropriation of all or
a material portion of the property of the other party; or
3. The failure of the other party to maintain, at all times, all governmental
licenses, permits, approvals, and consents necessary for the performance of its
obligations hereunder, irrespective of the cause or reason for such failure, except
that suspension of federal licenses or permits for a period of less than sixty (60) days
shall not be construed as a failure for the purpose of this paragraph; or
4. The failure of the other party to cure a breach of this Agreement within
thirty (30) days after notice of such breach is given by the non-breaching party; or
5. The failure of the other party to cure a monetary breach of this Agreement
within ten (10) days after notice of such breach is given by the non-breaching party.
b. In the event Importer makes no purchases of any Products listed on
Exhibit A during the preceding twelve months, or underperforms the Target Sales
amount Supplier may in its sole discretion sell the Products to third parties within the
Territory; or the Supplier could terminate this agreement by a single notice given to
Importer. Ten percent (10%) underperformance of Target Sales numbers is
permissible and not considered to be a ground for termination.
10. OBLIGATIONS FOLLOWING EXPIRATION OR TERMINATION
a. Upon the termination of this Agreement any any reason, Importer shall
discontinue the use of the Supplier’s Trademarks, except for reasonable use in
connection with the liquidation and sale, in accordance with this Agreement, of any
of the Products Importer has in its inventory.
b. Supplier agrees that Importer shall have no liability for damages, including
but not limited to indirect, incidental, consequential or special damages or loss of
profits or revenue due to the failure to provide the services described herein and
Supplier’s sole remedy will be termination of this Agreement.
11. DOCUMENTS AND RECORDS
Each party shall have the right to inspect and/or review all documents and other
records relating to the Products upon reasonable written notice provided at least ten
(10) business days in advance of any inspection.
12. FORCE MAJEURE
Neither of the parties shall be responsible or liable in any way for any default in the
performance of this Agreement arising directly or indirectly from events or causes
beyond their control including, but not limited to, fire, flood, action of the elements,
riots, wars, civil and common, strikes, lockouts, anomalous and unfavourable climate
course, or any other unavoidable events or contingencies.
13. NOTICES
All notices or other written communications required or referred to in this Agreement
shall be in writing and sent to the address of the recipient as it appears in the
introductory paragraph to this Agreement (or such other address as such party shall
have notified to the sender) by registered air mail, return receipt requested, by DHL,
Federal Express or other reputable commercial carrier, or by electronic or facsimile
transmission, with all costs of delivery or transmission prepaid, and shall be deemed
given when actually received.
14. SEVERABILITY
This Agreement is intended for general use in the United States and in the event any
term or provision hereof is in violation of, or prohibited by, any applicable law or
regulation, including laws or regulations promulgated by particular states, such term
or provision shall be deemed to be amended or deleted to conform to such law or
regulation without invalidating or amending or deleting any other term of this
Agreement.
15. WAIVER
The failure or omission by either party to insist upon or enforce any of the terms of
this Agreement shall not be deemed a waiver of such term unless the waiver is in
writing and signed by the party against whom such waiver is sought to be enforced.
Waiver of any one term shall not be deemed a waiver of any other term. Waiver of
any one term on any one occasion shall not be deemed a waiver of the same term
on any other occasion.
16. CHOICE OF LAW AND DISPUTES.
The rights and obligations of the parties under this Agreement shall not be governed
by the provisions of the United Nations Convention on Contracts for the International
Sale of Goods but instead shall be construed and enforced in accordance with the
laws of the State of Georgia, in the United States of America without giving effect to
principles of conflict of laws. In the event any disagreement or dispute between the
parties arises under or out of this Agreement, including termination issues, such
disagreement or dispute shall be submitted to the International Chamber of
Commerce (the “ICC”) for binding arbitration unless the parties mutually agree upon
an alternative dispute resolution service. The arbitration shall be conducted in
accordance with the rules of ICC or such other dispute resolution service as might be
agreed upon and shall be held in Atlanta, Georgia. Any award made by ICC or such
other dispute resolution service as might be agreed upon shall be binding upon the
parties. Binding arbitration shall be the exclusive remedy for breach of this
Agreement by either Party. The parties shall share equally all costs of arbitration
other than representation by counsel which shall be at each Party’s own expense. In
any suit in respect to trademark rights or indemnification default, Supplier agrees to
appear in and be subject to a court of competent jurisdiction located in the State of
Georgia, to which jurisdiction Supplier hereby submits. Supplier further agrees that
service of any process upon Supplier may be made by certified or registered mail at
Supplier’s address.
17. RESTRICTIVE COVENANTS
a. Acknowledgement. The parties acknowledges that as a result of entering
into this Agreement each will be provided with access to the others Confidential
Information (as defined below), business relationships and methods of doing
business, and that such Confidential Information, business relationships and
methods of doing business constitute valuable assets of each party and a significant
part of the goodwill of each party, the preservation of which is essential to the
success of each party, and that each party has a legitimate interest in restricting the
other party’s ability to take advantage of such Confidential Information, business
relationships and methods of doing business.
b. Nondisclosure. Each party agrees that during the term of this Agreement
it will not, directly or indirectly, disclose to any third party, or use for the benefit of
itself or any other person or entity, other than the other party, any Confidential
Information. As used in this Agreement, the term “Confidential Information” shall
mean any information of the other party or any information used by the other party in
the course of conducting its business, in either case which is not generally known to
the public or the disclosure of which could result in a competitive or other
disadvantage to the other party. Confidential Information includes information,
whether or not patentable or copyrightable, in written, oral, electronic or other
tangible or intangible forms, stored in any medium, including, by way of example and
without limitation, trade secrets, ideas, concepts, designs, configurations,
specifications, drawings, blueprints, diagrams, models, prototypes, samples, flow
charts, processes, techniques, formulas, software, improvements, inventions,
domain names, data, know-how, discoveries, copyrightable materials, marketing
plans and strategies, sales and financial reports and forecasts, customer lists,
studies, reports, records, books, contracts, instruments, surveys, computer disks,
diskettes, tapes, computer programs and business plans, methods of doing
business, prospects and opportunities (such as possible acquisitions or dispositions
of businesses or facilities) which have been discussed or considered by the
management of the other party. Confidential Information also includes the
confidential information of others with which the other party has a business
relationship. Each party further agrees that even if such information is developed or
contributed to, in whole or in part, by the other party pursuant to this Agreement,
such information is and shall remain the sole and exclusive property of the other
party. Notwithstanding the foregoing, Confidential Information does not include
information in the public domain, unless due to breach of one of the party’s duties
under this Agreement.
c. Breach. Each party agrees that any breach of Sections (a) or (b) above
will result in irreparable damage to the other party for which the other party will have
no adequate remedy at law, and, therefore if such a breach should occur, each party
consents to any temporary or permanent injunction or decree of specific
performance by any court of competent jurisdiction in favor of the other party
enjoining any such breach, without the need to prove actual damages and without
prejudice to any other right or remedy to which the other party shall be entitled.
Each party acknowledges that the restrictions contained in this Section are
reasonable, and are reasonably related to the legitimate business interests of the
parties. In the event that any portion of this Section shall be determined by any court
of competent jurisdiction to be unenforceable by reason of its being extended over
too great a period of time or too large a geographic area or over too great a range of
activities, it shall be interpreted to extend only over the maximum lesser period of
time, geographic area, or range of activities as to which it may be enforceable. Each
of the covenants herein shall be deemed a separate and severable covenant. In the
event that one of the parties or any of its officers, directors or employees breaches
any provision of this Section, the other party shall be entitled to recover from it all
costs of enforcement, including reasonable attorneysʹ fees.
d. Severability. Wherever possible, each provision hereof shall be
interpreted in such manner as to be effective and valid under applicable law, but in
case any one or more of the provisions contained herein shall, for any reason, be
held to be invalid, illegal or unenforceable in any respect, such provision shall be
ineffective to the extent, but only to the extent, of such invalidity, illegality or
unenforceability without invalidating the remainder of such invalid, illegal or
unenforceable provision or provisions or any other provisions hereof, unless such a
construction would be unreasonable.
e. Termination. The terms and provisions of this Section shall apply as of
the date hereof, as shall continue in effect whether or not this Agreement shall be
subsequently terminated or expire.
18. NATURE OF AGREEMENT
The parties hereto acknowledge that they are dealing with one another hereunder as
independent contractors and not as partners, joint venturers or principal and agent.
Neither party is granted any right or authority to act or hold itself out as the legal
agent of the other, or to assume or create any obligations or responsibilities, express
or implied, on behalf of or in the name of the other or any person or entity affiliated
with the other or to bind the other in any manner whatsoever except as may
otherwise be expressly agreed upon by the parties in writing for purposes of
compliance with applicable state or federal laws or requirements.
19. ENTIRE AGREEMENT
This Agreement shall constitute the entire understanding by and between the parties
as to the subject matter hereof, replacing and superseding all previous agreements
and understandings between the parties hereto or their predecessors concerning
such subject matter. No modification of this Agreement shall be of any effect unless
set forth in writing and signed by both parties. All notices required by this Agreement
shall be in writing and shall be deemed given on the date of delivery.
20. BINDING AGREEMENT
This Agreement shall bind and inure to the benefit of the parties hereto and their
respective successors and assigns.
21. ASSIGNMENT
Neither party may assign or transfer its rights or obligations under this Agreement
without the prior consent of the other. Any attempted assignment or transfer of this
Agreement without such consent will constitute a breach of this Agreement.
IN WITNESS WHEREOF, the parties have signed the Agreement as of the dates

7.Conclusion
En equipo, concluimos que el producto elegido es un gran producto con potencial de
distribución y que puede generar un gran “boom” en la sociedad americana y crecer
las ganancias de Impulsora Rombo. Rudo y Técnico es un tequila que a pesar de su
pequeño porcentaje de mercado, crea en el consumidor un divertido concepto de lo
que es un buen tequila mexicano.
