X.k.6 tentang kewajiban Penyampaian laporan tahunan Bagi emiten atau Perusahaan Publik serta surat edaran otoritas Jasa keuangan nomor 30/seoJk.04/2016 tentang Bentuk dan isi laporan tahunan emiten atau Perusahaan Publik.

Bank Sinarmas Tbk. 2016 Annual Report is published in accordance with Financial Services Authority Regulation No.6/POJK.03/2015 on Transparency and Publication of Bank’s Report, and the Head of Capital Market Supervisory Board and Financial Institutions Decision 431/BL/2012 Regulation No. X.K.6 on the Obligation to Submit Annual Reports for Issuers or Public Companies as well as Financial Services Authority Circular No. 30/SEOJK.04/2016 on the Issuer or a Public Company Annual Report Form and Content.
The currency “Rupiah”, “Rp” or IDR throughout this report refers to the official currency of the Republic of Indonesia, while “US Dollar” refers to the official currency of the USA. All financial information is presented in the Rupiah currency in accordance with Indonesian Financial Accounting Standards.

tahun 2016 guna mewujudkan visi “menjadi Bank terkemuka di indonesia dengan Jaringan Distribusi yang terintegrasi dan layanan yang Prima” kami menitikberatkan perhatian pada pengembangan sumber Daya manusia (sDm) dan teknologi untuk dapat memberikan layanan terbaik kepada nasabah. untuk itu, kami melakukan pengembangan dan peningkatan kualitas dari sDm yang kami miliki secara berkesinambungan. sejalan dengan itu, kami juga terus melakukan pengembangan di bidang teknologi informasi untuk menunjang operasional bank dan memberikan berbagai kemudahan kepada seluruh nasabah.

To that end, we undertook to develop and improve the quality of our HC, and continued to develop our information technology to support the bank’s operations to provide a wide range of facilities to all customers.

selama lebih dari 26 tahun telah kami lalui dalam industri perbankan. Pada tahun 2015, Bank sinarmas mengambil inisiatif semangat budaya orang makassar yang disiplin, ulet, serta kuat dalam memegang prinsip. Penerapan semangat budaya ini dilakukan guna mewujudkan visi “menjadi Bank terkemuka di indonesia dengan Jaringan Distribusi yang terintegrasi dan layanan yang Prima” serta menjadi Bank modern dengan tetap memegang teguh nilai-nilai bangsa, dan budaya Bank.

KonDiSi LingKUngan eKSTernaL Pertumbuhan ekonomi Indonesia tahun 2016 terealisasi sebesar 5,02%, lebih tinggi dibandingkan pertumbuhan ekonomi tahun sebelumnya yang sebesar 4,88%. Namun demikian, pertumbuhan industri perbankan tidak sejalan dengan pertumbuhan ekonomi nasional.
Tahun 2016, industri perbankan nasional mengalami perlambatan pertumbuhan dibandingkan tahun 2015, khususnya dalam penyaluran kredit. Hal ini disebabkan banyak industri yang terdampak oleh pelemahan ekonomi global sehingga program pengembangan usaha yang dijalankan mengalami hambatan. Industri pertambangan merupakan salah satu industri yang terkena dampak yang cukup besar. Turunnya harga komoditas pada semester pertama tahun 2016 menjadi kendala yang cukup berat bagi pelaku industrinya.

ExTErnal EnvironmEnTal ConDiTionS the realization of indonesia’s economic growth in 2016 was 5.02%, higher than the economic growth of the previous year of 4.88%. However, the growth in the banking industry was not in line with national economic growth.
in 2016, the growth of national banking industry experienced a slowdown compared to 2015, especially in lending. this was due to many industries affected by the global economic weakening, thus business development programs were facing many constraints. the mining industry was one industry with fairly significant impact. the fall in commodity prices in the first half of 2016 has become a challenging obstacle for business players in that industry.

Profil Perusahaan Company Profile
Selain itu, berdasarkan data Kementerian Perindustrian, sepanjang tahun 2016 pertumbuhan industri hanya mencapai 4,4%. Pencapaian tersebut lebih rendah dari pertumbuhan industri pada tahun 2015 sebesar 5,05%.
Melambatnya pertumbuhan industri berdampak cukup signifikan terhadap industri perbankan, khususnya dalam hal penyaluran kredit.
peniLaian Kinerja DireKSi Selama tahun 2016, Bank Sinarmas mampu membukukan kinerja yang cukup membanggakan. Atas pencapaian tersebut, Dewan Komisaris memberikan apresiasi dan penghargaan yang tinggi kepada Direksi yang telah menjalankan tugas dan tanggungjawabnya dalam mengelola Bank dengan sangat baik.
Kinerja KeUangan Dan operaSionaL Menyikapi kondisi perekonomian tahun 2016 yang cukup dinamis, Direksi telah mengambil sejumlah kebijakan strategis dalam rangka meningkatkan kinerja Bank. Kebijakan strategis tersebut diambil dibawah pengawasan Dewan Komisaris.
Dengan menerapkan kebijakan strategis tersebut, Bank Sinarmas berhasil mencatatkan pertumbuhan laba bersih yang sangat baik sebesar Rp371 miliar di tahun 2016, bertumbuh 100,19%, dibandingkan laba bersih tahun 2015 sebesar Rp185 miliar.
Pertumbuhan laba bersih tersebut sejalan dengan pertumbuhan kredit yang disalurkan tahun 2016 mencapai Rp19.358 miliar atau tumbuh 10,58% dari tahun 2015 yang sebesar Rp17.507 miliar. Pencapaian tersebut berada di atas pertumbuhan kredit industri perbankan nasional sebesar 7,85%. Pertumbuhan kredit Bank Sinarmas ditopang oleh pertumbuhan kredit pada sektor perdagangan besar dan eceran yang mengalami pertumbuhan sebesar 48,63% dibandingkan tahun 2015.
Dana pihak ketiga (DPK) yang dihimpun Bank Sinarmas tahun 2016 mencapai Rp25.078 miliar, tumbuh 12,17% dibandingkan tahun 2015. Pertumbuhan DPK Bank Sinarmas juga berada di atas pertumbuhan DPK industri yang sebesar 9,60%.
Dari aspek operasional, Bank Sinarmas juga berhasil mencatat kinerja yang positif ditinjau dari pertumbuhan portofolio usaha dan produktivitas Sumber Daya Manusia.
TingKaT KeSehaTan BanK Sesuai dengan Peraturan Otoritas Jasa Keuangan Nomor 4/ POJK.03/2016 tanggal 27 Januari 2016 Tentang Penilaian Tingkat Kesehatan Bank Umum, Bank Sinarmas telah melakukan penilaian tingkat kesehatan bank dengan menggunakan pendekatan risiko (risk- based bank rating) yang mencakup 4 faktor, yaitu Profil Risiko, Good Corporate Governance, Rentabilitas (earnings) dan Permodalan (Capital).

finanCial anD oPEraTional PErformanCE in response to the quite dynamic economic conditions in 2016, the Board of directors followed a number of strategic policies to improve the Bank’s performance. these strategic policies were under the supervision of the Board of Commissioners.
By implementing the strategic policies, Bank sinarmas managed to record an outstanding net profit growth at rp371 billion in 2016, grew 100.19% when compared to the net profit of rp 185 billion in 2015.
the net profit growth was in line with the loan growth in 2016 that reached rp19,358 billion, 10.58% higher than the rp17,507 billion in 2015. this achievement was above the industry’s loan growth of 7.85%. Bank sinarmas’ loan growth was supported by the wholesale and retail trade sectors that grew by 48,63% compared to 2015.
third party funds collected by Bank sinarmas in 2016 reached rp25,078 billion, growing 12.17% over year 2015, also above the industry’s growth in deposits of 9.60%.
from the operational aspect, Bank sinarmas also managed to record a positive performance in terms of business portfolio growth and human capital productivity.
Bank HEalTH lEvEl in accordance with financial services authority regulation no.4/ poJK.03/2016 dated January 27, 2016 on the assessment of Health Level of Commercial Banks, Bank sinarmas has been assessing its health level using risk approach (risk - based bank rating) which includes four factors: risk profile, Good Corporate Governance, profitability (earnings) and Capital.

Berdasarkan hasil penilaian tingkat kesehatan Bank, Bank Sinarmas memperoleh Peringkat SEHAT yang mencerminkan bahwa kondisi kesehatan Bank secara umum dinilai mampu menghadapi pengaruh negatif yang signifikan dari perubahan kondisi bisnis dan faktor eksternal lainnya.
pengawaSan TerhaDap iMpLeMenTaSi STraTegi BanK Dewan Komisaris secara aktif melakukan pengawasan terhadap implementasi strategi Bank melalui Komite-Komite yang berada di bawah Dewan Komisaris. Berdasarkan temuan, masukan dan rekomendasi dari Komite, Dewan Komisaris melakukan pembahasan dengan Direksi terkait implementasi strategi yang dijalankan Direksi untuk memastikan bahwa pengembangan usaha Bank dilakukan sesuai dengan rencana jangka menengah dan panjang yang telah ditetapkan.
Tahun 2016, Dewan Komisaris melakukan rapat gabungan dengan Direksi sebanyak 10 (sepuluh) kali. Pada kesempatan tersebut, Dewan Komisaris menyampaikan arahan dan nasihat untuk menyempurnakan proses bisnis end to end, meningkatkan prinsip kehati-hatian Bank, meningkatkan penerapan Good Corporate Governance dan Manajemen Risiko, dengan tujuan agar Bank dapat tumbuh secara sehat dan profitable, secara berkesinambungan.
panDangan aTaS proSpeK USaha perUSahaan Pada tahun 2017, pertumbuhan ekonomi Indonesia diproyeksikan berada di kisaran 5,00%-5,20%, dan tingkat inflasi diperkirakan akan berada di kisaran 4±1%. Pertumbuhan ekonomi Indonesia pada tahun 2017 diperkirakan akan lebih baik dari tahun 2016 dengan ditopang oleh kebijakan ekonomi pemerintah, program tax amnesty yang masih berlanjut serta kinerja ekspor yang membaik seiring dengan meningkatnya harga komoditas. Perekonomian Indonesia dipengaruhi oleh perekonomian global, dimana pada tahun 2017 diprediksikan membaik meskipun masih dipenuhi oleh ketidakpastian, misalnya dengan adanya pergerakan suku bunga global sebagai dampak dari naiknya suku bunga acuan Amerika Serikat (fed fund rate/FFR).
Sejalan dengan membaiknya pertumbuhan perekonomian Indonesia, pada tahun 2017 industri perbankan nasional diprediksi akan tetap bertumbuh. Menurut Bank Indonesia, Dana Pihak Ketiga (DPK) akan bertumbuh di kisaran 9%-11%, kredit diprediksi akan bertumbuh di kisaran 10%-12%, dan rasio NPL akan membaik dan berada di bawah 3%. Secara umum, kondisi sistem keuangan akan tetap stabil didukung oleh ketahanan industri perbankan dan stabilitas pasar keuangan yang terjaga.

the Board of Commissioners actively monitored the Bank’s strategies through its supporting Committees. Based on their findings, input and recommendations, the Board of Commissioners held meetings with the Board of directors regarding the implementation of the strategies to ensure that the Bank’s business development was conducted in accordance with the established medium- and long-term plans.
in 2016, the Board of Commissioners conducted 10 (ten) joint meetings with the Board of directors. on these occasion, the Board of Commissioners gave directives and advice to enhance the end- to-end business processes, increase the Bank’s prudential principles, improve the Good Corporate Governance and risk management implementation, to enable the Bank to grow and be profitable and healthy in a sustainable way
ComPany BuSinESS ProSPECTS ovErviEw in 2017, indonesia’s economic growth is projected to be in the range of 5.00% - 5.20%, and the inflation rate is expected to be in the range of 4 ± 1%. indonesia’s economic growth in 2017 is expected to be better than in 2016, sustained by the government’s economic policy, still ongoing tax amnesty program, and the improved export performance with increasing commodity prices. indonesia’s economy affected by the global economy, which in 2017 is predicted to improve although still filled with uncertainties such as the global interest rate movement as a result of the rise in the Us benchmark rate (fed fund rate/ffr).
in line with improving economic growth in indonesia, the national banking industry is expected to keep growing in 2017. according to Bank indonesia, third party funds (dpK) will grow in the range of 9%-11%, credit is predicted to grow in the range of 10% -12%, and the npL ratio will improve and be under 3%. in general, the financial system conditions will remain stable supported by the resilience of the banking industry and the stability of financial market.

Prediksi pertumbuhan perekonomian Indonesia yang lebih baik dari tahun 2016, menjadi dasar optimisme bagi Bank Sinarmas bahwa prospek usaha kedepan akan tetap kondusif dan Perusahaan akan dapat meningkatkan volume usaha. Di tahun 2017, Perusahaan akan melanjutkan program-program yang telah dijalankan sejak tahun 2016 seperti program Laku Pandai, program KUR TKI, serta program Jaring dan Ketahanan Pangan. Selain itu, Perusahaan akan terus menjalankan fungsi intermediasi, melakukan cross selling, dan meningkatkan penggunaan produk dan layanan oleh nasabah dengan memanfaatkan semua jaringan yang ada. Per akhir tahun 2016, jaringan yang dimiliki oleh Perusahaan antara lain 395 kantor, 6 unit pelayanan kas dan 3 mobil kas keliling yang tersebar di 167 kota dan kabupaten di 34 propinsi, 1.510 agent banking (Laku Pandai), mobile banking serta internet banking. Keberadaan pedoman tersebut merupakan salah satu langkah maju dalam penerapan prinsip GCG di Bank dan mengurangi kemungkinan terjadinya fraud dan pelanggaran lainnya.
Bank Sinarmas mengharuskan setiap lini unit bisnis untuk secara konsisten menjalankan fungsi pengawasan melekat dan berjenjang, serta menetapkan kebijakan dengan membuka saluran pengaduan yang dapat didayagunakan sebagai early warning systems.

Bank sinarmas requires that every business unit line consistently executes embedded and tiered control functions, as well as establishes a policy for a open channel for complaints that can be used as an early warning system.
